The Board of Directors of Digital Workforce Services Plc decided on the stock option program 2023
Option program 2023
Based on the authorization given by the Annual General Meeting on April 11, 2024, the Board of Directors of Digital Workforce Services Plc has decided on a new stock option program, Stock Option Program 2023. The stock options are part of the agreed remuneration of the CEO.
A maximum of 45,000 stock options will be issued, entitling the holder to subscribe for a maximum of 45,000 new shares in the company. The stock options are issued free of charge.
The shares to be subscribed for on the basis of the stock options to be issued correspond in total to a maximum of 0.40 percent of all the company’s shares and votes after any share subscriptions. As a result of the share subscriptions with stock options, the number of the company’s shares may increase by a maximum of 45,000 shares.
The subscription price per share for the shares to be subscribed for with the stock options is EUR 4.68. The Subscription Price of the shares is recorded in full in the Company’s invested unrestricted equity fund.
The subscription period for the shares to be subscribed for with the stock options is July 1, 2024 – December 31, 2030.

Digital Workforce Services Oyj:n hallitus päätti optio-ohjelmasta 2023
Optio-ohjelma 2023
Digital Workforce Services Oyj:n hallitus on päättänyt yhtiökokouksen 11.4.2024 antaman valtuutuksen perusteella uudesta optio-ohjelmasta, Optio-ohjelma 2023. Optio-oikeudet ovat osa yhtiön toimitusjohtajan sovittua palkkiota.
Optio-oikeuksia annetaan yhteensä enintään 45 000 kappaletta, ja ne oikeuttavat merkitsemään yhteensä enintään 45 000 yhtiön uutta osaketta. Optio-oikeudet annetaan vastikkeetta.
Liikkeeseen laskettavien optio-oikeuksien perusteella merkittävät osakkeet vastaavat yhteensä enintään 0,40 prosenttia yhtiön kaikista osakkeista ja äänistä mahdollisten osakemerkintöjen jälkeen. Optio-oikeuksilla tapahtuvien osakemerkintöjen seurauksena yhtiön osakkeiden lukumäärä voi nousta yhteensä enintään 45 000 osakkeella.
Optio-oikeuksilla merkittävien osakkeiden merkintähinta osakkeelta on 4,68 euroa. Osakkeiden merkintähinta kirjataan kokonaisuudessaan yhtiön sijoitetun vapaan oman pääoman rahastoon.
Optio-oikeuksilla merkittävien osakkeiden merkintäaika on 1.7.2024 – 31.12.2030.
