GRK Infra Plc OTHER INFORMATION DISCLOSED ACCORDING TO THE RULES OF THE EXCHANGE 2 July 2026 at 08.30 a.m. EEST
GRK Infra Plc (“GRK”) announced on 30 June 2026 the completion of the acquisition of Keski-Suomen Betonirakenne Oy (the “Transaction”) and its resolutions on directed share issues to the sellers (the “Consideration Share Issue”) and certain other key persons (the “Incentive Issue”).
In the Consideration Share Issue and the Incentive Issue together, GRK issued a total of 1,797,648 new shares, which have today been registered in the Trade Register maintained by the Finnish Patent and Registration Office (the “New Shares”).
As a result of the registration of the New Shares, the total number of all registered shares in GRK is 42,766,879. The New Shares will be issued in the book-entry system (ISIN code FI4000517966) and registered to the book-entry accounts of the subscribers, after which the New Shares will carry shareholder rights in GRK.
Trading in the New Shares on the regulated market maintained by Nasdaq Helsinki Ltd is expected to commence on or about 3 July 2026, subject to the approval of the listing application.

GRK Infra Oyj MUUT PÖRSSIN SÄÄNTÖJEN NOJALLA JULKISTETTAVAT TIEDOT 2.7.2026 klo 08.30
GRK Infra Oyj (“GRK”) julkisti 30.6.2026 saattaneensa päätökseen Keski-Suomen Betonirakenne Oy:n hankinnan (“Kauppa”) ja päättäneensä suunnatuista osakeanneista myyjille (“Vastikeosakeanti”) sekä tietyille muille avainhenkilöille (“Kannustinanti”).
Vastikeosakeannissa ja Kannustinannissa GRK laski liikkeeseen yhteensä 1.797.648 uutta osaketta, jotka on tänään rekisteröity Patentti- ja rekisterihallituksen ylläpitämään kaupparekisteriin (“Uudet Osakkeet”).
Uusien Osakkeiden rekisteröinnin seurauksena GRK:n kaikkien rekisteröityjen osakkeiden lukumäärä on 42.766.879. Uudet Osakkeet lasketaan liikkeeseen arvo-osuusjärjestelmässä (ISIN-tunnus FI4000517966) ja rekisteröidään merkitsijöiden arvo-osuustileille, minkä jälkeen Uudet Osakkeet tuottavat osakkeenomistajan oikeudet GRK:ssa.
Kaupankäynnin Uusilla Osakkeilla odotetaan alkavan Nasdaq Helsinki Oy:n ylläpitämällä säännellyllä markkinalla arviolta 3.7.2026, mikäli listalleottohakemus hyväksytään.
