Topdanmark Forsikring A/S – Indfrielse af kapitalbeviser
Topdanmark Forsikring A/S udstedte d. 11. december 2015 kapitalbeviser for 850 mio. kr. som ansvarlig lånekapital.
Kapitalbeviserne indfries til kurs 100,00 senest d. 11. juni 2026. Topdanmark Forsikring A/S har dog ret til at førtidsindfri kapitalbeviserne fra og med d. 11. juni 2021 og hvert kvartal herefter til kurs 100,00 efter forudgående tilladelse fra Finanstilsynet.
Med baggrund i obligationsvilkårene og Topdanmark Forsikring A/S’ kapitalforhold i øvrigt agter selskabets bestyrelse, betinget af Finanstilsynets tilladelse, at beslutte at førtidsindfri og dermed tilbagebetale lånet til investorerne hurtigst muligt og formentlig d. 11. december 2021 til kurs 100,00. Kapitalbeviserne fragår hermed i Topdanmark A/S’ solvensopgørelse pr. dags dato.
Den endelige beslutning og indfrielse afventer Finanstilsynets godkendelse.

Topdanmark Forsikring A/S – Redemption of subordinated notes
On 11 December 2015, Topdanmark Forsikring A/S issued subordinated notes of DKK 850m as subordinated loan capital.
The subordinated notes will be redeemed at par on 11 June 2026 at the latest. However, from 11 June 2021 and every quarter hereafter, Topdanmark Forsikring A/S may redeem early at par subject to the prior approval of the Danish Financial Supervisory Authority.
Given the terms of the bonds and the capital position of Topdanmark Forsikring A/S, the Company’s Board of Directors intends to decide to redeem early, thus paying back the loan to the investors at par as soon as possible and most likely by 11 December 2021, subject to the approval of the Danish Financial Supervisory Authority. The subordinated notes will hereby be deducted from Topdanmark A/S’ solvency calculation as of today.
The final decision and redemption await the approval of the Danish Financial Supervisory Authority.
