Konkurrence- og Forbrugerstyrelsen godkender Topdanmark A/S’ køb af Oona Health A/S
Konkurrence- og Forbrugerstyrelsen har i dag uden betingelser godkendt Topdanmark A/S’ køb af Oona Health A/S med datterselskaber fra AnaCap. Topdanmark har dermed modtaget alle relevante regulatoriske godkendelser, som gennemførslen af købet er betinget af jf. selskabsmeddelelse nr. 04/2023 dateret 16. marts 2023.
Transaktionen forventes gennemført d. 1. december 2023.
Som tidligere nævnt forventes købet at medføre ekstraordinære omkostninger forbundet med transaktionen på omkring 100 mio. kr. Af disse udgiftsføres ca. 30 mio. kr. i Q4 2023. Topdanmarks modelmæssige resultatprognose for 2023 på 1.100-1.210 mio. kr. efter skat ekskl. afløb i Q4 2023 påvirkes alt andet lige af de ekstraordinære omkostninger, der udgiftsføres i Q4. Forventningerne til præmievæksten opjusteres til over 2,5 %, mens forventningerne til combined ratio fastholdes på 83,7-84,7 ekskl. afløb i Q4 2023. Resultatprognosen er baseret på standardforudsætninger for Q4 2023, herunder for vejr- og storskader.

The Danish Competition and Consumer Authority approves Topdanmark A/S’ acquisition of Oona Health A/S
Today, the Danish Competition and Consumer Authority has unconditionally approved Topdanmark A/S’ acquisition of Oona Health A/S and all subsidiaries hereof from AnaCap. Thus, Topdanmark has received all relevant regulatory approvals to which the acquisition was subject as stated in the company announcement no. 04/2023 dated 16 March 2023.
The transaction is expected to be completed as per 1 December 2023.
As previously mentioned, the acquisition is expected to carry extraordinary costs related to the transaction of approx. DKK 100m. Of these, approx. DKK 30m will be recognised as an expense in Q4 2023. Topdanmark’s modelled profit forecast for 2023 of DKK 1,100-1,210m after tax, excluding run-off in Q4 2023, will be affected by the extraordinary costs recognised in Q4, all things equal. The expected premium growth is upgraded to above 2.5% whereas the expected combined ratio is maintained at 83.7-84.7 excluding run-off in Q4 2023. The profit forecast is based on standard assumptions for Q4 2023, including for weather-related and large-scale claims.
