Selskabsmeddelelse nr. 8/2025 – Bestyrelsesformand og CEO tegner nye aktier iht warrant aftale
Med henvisning til selskabsmeddelelse nr. 4 af 16. juni 2023 vedrørende warrantprogram for bestyrelsesformanden i Dataproces Group A/S og selskabsmeddelse nr. 3 af 16. maj 2023 vedrørende ny direktion og warrantprogram kan det oplyses, at bestyrelsesformand HC Maarup og CEO Michael Binderup i dag har valgt at tegne nye aktier iht betingelserne i aftalen.
I den forbindelse er aktiekapitalen forhøjet med i alt 300.000 stk. nye aktier á nominelt 0,02 kr.
Dataproces’ selskabskapital udgør herefter nominelt 684.000,84 kr. fordelt på 34.200.042 aktier á nominelt 0,02 kr. pr. aktie.
I tillæg til warrant aftale har bestyrelsen godkendt at begge frigøres delvist fra deres lock-up periode på 12 måneder, som de er pålagt i warrant-aftalen. Således godkendes, at de kan sælge op til 50% af de nytegnede aktier for at kunne svare den skat, de ifalder på udnyttelsen af deres warrants.

Company Announcement
Company announcement no. 8/2025 – The chairman and CEO subscribes for new shares in accordance with the warrant agreement
With reference to company announcement no. 4 of June 16, 2023 regarding the warrant program for the chairman of Dataproces Group A/S and company announcement no. 3 of May 16, 2023 regarding the new management and warrant program, it can be reported that chairman HC Maarup and CEO Michael Binderup have today chosen to subscribe for new shares in accordance with the terms of the agreement.
In this regard, the share capital has been increased by a total of 300,000 new shares at a nominal value of 0.02 DKK each.
Dataproces’ share capital now amounts to a nominal 684,000.84 DKK distributed over 34,200,042 shares at a nominal value of 0.02 DKK per share.
In addition to the warrant agreement, the board has approved that both are partially released from their lock-up period of 12 months, which they are subject to in the warrant agreement. Thus, it is approved that they can sell up to 50% of the newly subscribed shares in order to cover the tax they incur when exercising their warrants.
