The Board of Directors of Digital Workforce Services Plc decided on the stock option program 2025
Option program 2025
Based on the authorization given by the Annual General Meeting on April 10, 2025, the Board of Directors of Digital Workforce Services Plc has decided on a new stock option program, Stock Option Program 2025. Options are intended to form a part of the equity-based incentive program of the Company, there is a weighty financial reason to issue the Options.
A maximum of 300,000 stock options will be issued, entitling the holder to subscribe for a maximum of 300,000 new shares in the company. The stock options are issued free of charge.
The shares to be subscribed for on the basis of the stock options to be issued correspond in total to a maximum of 2.60 percent of all the company’s shares and votes after any share subscriptions. As a result of the share subscriptions with stock options, the number of the company’s shares may increase by a maximum of 300,000 shares.
The subscription price per share for the shares to be subscribed for with the stock options is EUR 3.32. The Subscription Price of the shares is recorded in full in the Company’s invested unrestricted equity fund.
The subscription period for the shares to be subscribed for with the stock options is April 1, 2025 – December 31, 2033.

Optio-ohjelma 2025
Digital Workforce Services Oyj:n hallitus on päättänyt yhtiökokouksen 10.4.2025 antaman valtuutuksen perusteella uudesta optio-ohjelmasta, Optio-ohjelma 2025. Optio-oikeuksien on tarkoitus olla osa yhtiön osakepohjaista kannustinjärjestelmää, minkä vuoksi optio-oikeuksien liikkeeseenlaskulle on yhtiön kannalta painava taloudellinen syy.
Optio-oikeuksia annetaan yhteensä enintään 300 000 kappaletta, ja ne oikeuttavat merkitsemään yhteensä enintään 300 000 yhtiön uutta osaketta. Optio-oikeudet annetaan vastikkeetta.
Liikkeeseen laskettavien optio-oikeuksien perusteella merkittävät osakkeet vastaavat yhteensä enintään 2,60 prosenttia yhtiön kaikista osakkeista ja äänistä mahdollisten osakemerkintöjen jälkeen. Optio-oikeuksilla tapahtuvien osakemerkintöjen seurauksena yhtiön osakkeiden lukumäärä voi nousta yhteensä enintään 300 000 osakkeella.
Optio-oikeuksilla merkittävien osakkeiden merkintähinta osakkeelta on 3,32 euroa. Osakkeiden merkintähinta kirjataan kokonaisuudessaan yhtiön sijoitetun vapaan oman pääoman rahastoon.
Optio-oikeuksilla merkittävien osakkeiden merkintäaika on 1.4.2026 – 31.12.2033.
