The board of directors (the “Board”) of Entra ASA (the “Company”) notes that Samhällsbyggnadsbolaget i Norden AB (“SBB”) today has announced an intended new voluntary offer with improved terms.
“The Board appreciates the continued interest in Entra shown by SBB, and notes the improvement in the financial terms proposed relative to SBB´s earlier proposal. The Board will, with the assistance of its advisors, diligently consider the offer. A further announcement will be made by the Board when appropriate, ” says Siri Hatlen, chair of the Board.
Shareholders are advised to refrain from taking any action in respect of their shares in the Company which may be prejudicial to their interests, and to exercise caution when dealing in the shares of the Company. There can be no certainty that any offer will be made.
Where relevant, the Board will in due time provide the statutory recommendation to the Company’s shareholders on whether they should or should not accept any offer that is made and formally launched.

Styret i Entra ASA (“Selskapet”) har notert seg meldingen fra Samhällsbyggnadsbolaget i Norden AB (“SBB”) vedrørende intensjon om å fremsette et nytt frivillig tilbud på bedrede betingelser til Selskapets aksjonærer.
“Styret verdsetter den fortsatte interessen SBB viser for Entra, og noterer forbedringen av de finansielle vilkår sammenliknet med SBBs tidligere forslag. Styret vil, med bistand fra sine rådgivere, vurdere tilbudet grundig. Styret vil komme med en ytterligere kunngjøring når det er hensiktsmessig,» sier Siri Hatlen, styreleder i Entra.
Aksjonærer rådes til å avstå fra å iverksette tiltak med hensyn til sine aksjer i Selskapet som kan være til skade for deres interesser samt til å utvise forsiktighet ved handel i Selskapets aksjer. Det er ingen sikkerhet for at tilbud vil bli gitt eller at de vil bli gjennomført. Dersom aktuelt, vil styret på relevant tidspunkt gi lovmessig påkrevde anbefaling til Selskapets aksjonærer om hvorvidt de bør eller ikke bør akseptere et eventuelt offentlig tilbud som formelt er fremsatt på Selskapets aksjer.
