SmartCraft ASA – Resolution to increase the share capital

Oslo, 9 July 2021. Reference is made to the announcements made earlier today whereby SmartCraft ASA (“SmartCraft” or the “Company”, OSE ticker code “SMCRT”) announced the acquisition of Kvalitetskontroll AS (“Kvalitetskontroll”).
 
The Company’s board of directors has, based on an authorisation granted to it by the extraordinary general meeting of the Company held on 25 May 2021, resolved to increase the Company’s share capital with NOK 5,056.18 by issuance of 505,618 new shares to the sellers of Kvalitetskontroll at a subscription price of NOK 21.00 per share in connection with the Company’s acquisition of Kvalitetskontroll through its subsidiary SmartCraft Norway AS. The share contribution has been settled by way of set off against the respective sellers’ receivable towards the Company.
 
Following registration of the share capital increase with the Norwegian Register of Business Enterprises (Nw. Foretaksregisteret), the Company’s share capital will be NOK 1,715,223.05, divided into 171,522,305 shares, each with a nominal value of NOK 0.01.
 
Following completion of the acquisition of Kvalitetskontroll earlier today, Christer Kleppestø, Bjørn Erik Fjeldstad and Espen Thorbjørnsen are considered primary insiders of the Company. Please see the attached form of notification and public disclosure by persons closely associated with the said primary insiders related to the subscription for the new shares. The form and information therein is subject to the disclosure requirements in article 19 of the Regulation EU 596/2014 (the EU Market Abuse Regulation) and section 5-12 of the Norwegian Securities Trading Act.
