SkartaNYAB Plc: The final outcome of the personnel share issue 2022
On June 3, 2022, the Board of Directors of SkartaNYAB Plc decided, by virtue of an authorization granted by the Extraordinary General Meeting held on 30 September 2021, on a share issue without payment directed to the SkartaNYAB Plc personnel. In the share issue, a maximum total of 20,000 new shares in the Company were issued without payment. The Company has an especially weighty financial reason for the deviation from the shareholders’ pre-emptive subscription rights, since the personnel share issue is intended to strengthen the employees’ sense of ownership and commitment to the Company.
50 shares were offered without payment to each employee, who had a valid employment or service in the Company or its subsidiary on 15 June 2022. Additionally, the employee’s employment or service must be in force when the shares are registered on their book-entry account.
A total of 9,950 new shares were subscribed for in the personnel share issue. The Board of Directors has approved the share subscriptions. The new shares subscribed in the personnel share issue will be entered in the Trade Register on or about 28 July 2022 and the shares will be traded on Nasdaq First North Growth Market Finland together with the old shares as of 29 July 2022. After the entry of the new shares in the Trade Register, the total number of shares in the Company will be 702,651,838 shares.
The Company will cover the taxes and tax-related costs arising from the shares given to the employees on behalf of the employee.
The new shares will produce a right to dividends and other shareholder rights when the shares are entered into the Trade Register and registered on the employee’s book-entry account.

SkartaNYAB Oyj:n henkilöstölle suunnatun osakeannin 2022 lopputulos
SkartaNYAB Oyj:n hallitus päätti 3.6.2022 ylimääräisen yhtiökokouksen 30.9.2021 antaman valtuutuksen nojalla maksuttomasta osakeannista, jossa yhtiö antoi osakkeenomistajien merkintäoikeudesta poiketen henkilöstölle yhteensä enintään 20 000 yhtiön uutta osaketta. Yhtiöllä on erityisen painava taloudellinen syy osakeannille, koska osakeanti on tarkoitettu vahvistamaan työntekijöiden omistajuutta ja sitoutumista yhtiöön.
Hallitus tarjosi vastikkeetta 50 osaketta jokaiselle konsernin työntekijälle, jolla oli 15.6.2022 voimassa oleva työ- tai toimisuhde yhtiöön tai sen tytäryhtiöön. Lisäksi työntekijän työ- tai toimisuhteen on oltava voimassa, kun osakkeet kirjataan hänen arvo-osuustililleen.
Suunnatussa maksuttomassa henkilöstön osakeannissa merkittiin yhteensä 9 950 yhtiön uutta osaketta. Yhtiön hallitus on hyväksynyt osakemerkinnät.
Henkilöstöannissa 2022 hyväksytyt uudet osakkeet rekisteröidään kaupparekisteriin arviolta 28.7.2022 ja osakkeet ovat kaupankäynnin kohteena Nasdaq First North Growth Market Finland -markkinapaikalla yhdessä vanhojen osakkeiden kanssa arviolta 29.7.2022 alkaen. Uusien osakkeiden kaupparekisteriin rekisteröinnin jälkeen yhtiön osakkeiden lukumäärä on yhteensä 702 651 838 kappaletta.
Yhtiö kattaa työntekijälle annetuista osakkeista aiheutuvat verot ja veronluonteiset maksut työntekijän puolesta.
Uudet osakkeet tuottavat oikeuden osinkoon ja muut osakkeenomistajan oikeudet, kun osakkeet on rekisteröity kaupparekisteriin ja kirjattu työntekijän arvo-osuustilille.
