Share Subscriptions with Stock Options 2019C and 2022AI
By 9 January 2026, a total of 66,000 Scanfil Plc’s new shares has been subscribed for with the company’s stock options 2019C and 2022AI. For subscriptions made with the stock options 2019C and 2022AI, the entire subscription price of EUR 478,920.00 will be credited to the reserve for the company’s invested unrestricted equity.
The shares subscribed for with the stock options 2019C and 2022AI have been registered in the Trade Register on 12 February 2026. The new shares will produce shareholder rights for their shareholders from the date of registration. After the trade registration the total number of shares is 65,542,493.
The shares will be traded in the main list maintained by Nasdaq Helsinki Ltd together with the old shares as of 13 February 2026.
The share subscription period for shares subscribed for with the stock options 2019C commended on 1 May 2024 and will end on 30 April 2026.
The share subscription period for the stock options 2022AI commended on 1 May 2025 and will end on 30 April 2027.

Osakkeiden merkintä optio-oikeuksilla 2019C ja 2022AI
Scanfil Oyj optio-oikeuksilla 2019C ja 2022AI on 9.1.2026 mennessä merkitty yhteensä 66 000 yhtiön uutta osaketta. Optio-oikeuksilla 2019C ja 2022AI tehtyjen merkintöjen merkintähinta 478 920,00 euroa kirjataan kokonaisuudessaan sijoitetun vapaan oman pääoman rahastoon.
Optio-oikeuksien perusteella merkityt osakkeet on rekisteröity kaupparekisteriin 12.2.2026. Uudet osakkeet tuottavat omistajilleen osakkeenomistajan oikeudet rekisteröintipäivästä lähtien. Kaupparekisteriin merkinnän jälkeen Scanfil Oyj:n osakkeiden yhteismäärä on 65 542 493 osaketta.
Osakkeet ovat kaupankäynnin kohteena Nasdaq Helsinki Oy:n ylläpitämällä päälistalla yhdessä vanhojen osakkeiden kanssa 13.2.2026 alkaen.
Merkintäaika optio-oikeuksilla 2019C alkoi 1.5.2024 ja päättyy 30.4.2026.
Merkintäaika optio-oikeuksilla 2022 alkoi 1.5.2025 ja päättyy 30.4.2027.
