Med henvisning til Topdanmark A/S’ (“Topdanmark”) meddelelse nr. 14/2024 af 7. august 2024 vedrørende offentliggørelsen af prospektet og tilbudsdokumentet i forbindelse med det anbefalede offentlige overtagelsestilbud (aktieombytningstilbuddet) fremsat af Sampo plc (”Sampo”) for op til alle aktier (undtagen Topdanmarks egne aktier og aktier allerede ejet af Sampo) i Topdanmark (“Købstilbuddet”) og meddelelse nr. 19/2024 af 16. september 2024 om Sampo-bestyrelsens beslutning om at udstede 48.198.710 nye Sampo A-aktier (de ”Udbudte Aktier”) med fravigelse af Sampo-aktionærernes fortegningsret (”Aktieudstedelsen”) til aktionærer i Topdanmark har Sampo i dag meddelt, at de Udbudte Aktier er blevet registreret i det finske handelsregister i dag den 16. september 2024. Sampos meddelelse er vedhæftet.

With reference to Topdanmark A/S’ (“Topdanmark”) announcement no. 14/2024 of 7 August 2024 regarding the publication of the prospectus and the offer document concerning the recommended public tender offer (share exchange offer) made by Sampo plc (“Sampo”) for up to all shares (except treasury shares and shares already held by Sampo) in Topdanmark (the “Exchange Offer”) and the announcement no. 19/2024 of 16 September 2024 regarding the resolution by the Board of Directors of Sampo to issue 48,198,710 new Sampo A shares (the “Offer Shares”) in deviation from the Sampo shareholders’ pre-emptive rights (the “Share Issue”) to shareholders of Topdanmark, Sampo has announced that the Offer Shares have been registered with the Finnish Trade Register today, 16 September 2024.
