Results of the personnel share issue of Netum Group Plc
On 2 September 2022, the Board of Directors of Netum Group Plc decided on a directed share issue to the Group’s personnel. A maximum total of 300,000 new shares in the company were offered for subscription in the share issue. The subscription price was EUR 3.65 EUR per share, based on the trade volume weighted average price of the company’s share on Nasdaq Helsinki Ltd during the period from 1 August 2022 to 31 August 2022 and on a discount of 10 per cent calculated thereof. The share subscription period ended on 16 September 2022.
The Board of Directors approved a total of 185,500 subscriptions for new shares in the share issue. The total subscription price of the new shares is EUR 677,075. The shares subscribed for in the personnel share issue together represent approximately 1.6 per cent of shares and votes in the company. Subscriptions were made by a total of 145 members of the Group’s personnel.

The new shares subscribed for in the personnel share issue will be entered in the Trade Register on or about 31 October 2022. The new shares will be applied to be admitted to trading on Nasdaq Helsinki Ltd. After the entry of the new shares in the Trade Register, the total number of shares in Netum Group Plc will be 11,720,500 shares. The total subscription price of the new shares will be credited in full to the reserve for the company’s invested unrestricted equity.

Netum Group Oyj:n henkilöstöannin tulos
Netum Group Oyj:n hallitus päätti 2.9.2022 konsernin henkilöstölle suunnatusta henkilöstöannista. Henkilöstöannissa tarjottiin merkittäväksi yhteensä enintään 300 000 yhtiön uutta osaketta. Merkintähinta oli 3,65 euroa/osake, joka perustui yhtiön osakkeen vaihdolla painotettuun keskikurssiin Nasdaq Helsinki Oy:ssä ajanjaksolla 1.8.2022–31.8.2022 ja siitä laskettavaan kymmenen (10) prosentin alennukseen. Henkilöstöannin merkintäaika päättyi 16.9.2022.
Hallitus hyväksyi henkilöstöannissa yhteensä 185 500 uuden osakkeen merkinnän. Osakkeiden merkintähinta on yhteensä 677 075 euroa. Henkilöstöannissa merkityt osakkeet vastaavat yhteensä noin 1,6 prosenttia yhtiön osakkeista ja äänistä. Merkinnän teki yhteensä 145 henkilöstön jäsentä.
”Haluamme olla luotetuin kumppani ja halutuin työyhteisö vastuullisessa ja turvallisessa digimuutoksessa, ja on erittäin tärkeää, että henkilöstömme on sitoutunut Netumin tavoitteisiin. Se, että näin moni osallistui tähän osakeantiin, on osoitus henkilöstömme sitoutuneisuudesta”, toteaa Netumin toimitusjohtaja Matti Mujunen.
Henkilöstöannissa hyväksytyt uudet osakkeet rekisteröidään kaupparekisteriin arviolta 31.10.2022 ja haetaan julkisen kaupankäynnin kohteeksi Nasdaq Helsinki Oy:ssä. Uusien osakkeiden kaupparekisteriin rekisteröimisen jälkeen yhtiön osakkeiden lukumäärä on yhteensä 11 720 500 osaketta. Uusien osakkeiden yhteenlaskettu merkintähinta kirjataan kokonaisuudessaan yhtiön sijoitetun vapaan oman pääoman rahastoon.
