Forløb af ordinær generalforsamling
Selskabsmeddelelse nr. 10/2022: Dataproces Group A/S har den 18. august 2022 afholdt ordinær generalforsamling.
Torsdag den 18. august 2022 kl. 17.00 er der afholdt ordinær generalforsamling i Dataproces Group A/S, hvor følgende blev vedtaget i overensstemmelse med dagsordenens punkter:
Generalforsamlingen tog bestyrelsens beretning om Selskabets virksomhed i det forløbne år til efterretning.
Generalforsamlingen godkendte Selskabets årsrapport for 2021/22.
Generalforsamlingen godkendte bestyrelsens forslag om ikke at udbetale udbytte for regnskabsåret 2021/22 og godkendte, at årets resultat for regnskabsåret 2021/22 overføres til næste år.
Generalforsamlingen godkendte meddelelsen om decharge til Selskabets direktion og bestyrelse.
Generalforsamlingen godkendte vederlag til bestyrelsen for det nye regnskabsår.
Hans Christian Maarup, Mille Tram Lux og Mikkel Ulstrup blev genvalgt til bestyrelsen, Torben Haase blev valgt ind.
KPMG Statsautoriseret revisionsselskab blev genvalgt som revisor.
Ny bemyndigelse til Selskabets bestyrelse til at forhøje selskabskapitalen uden eller med fortegningsret blev vedtaget.
Umiddelbart efter Generalforsamlingens afholdelse, konstituerede bestyrelsen sig med Hans Christian Maarup som formand og Mille Tram Lux som næstformand.

Resolutions of annual general meeting
Company announcement no. 10/2022: Dataproces Group A/S held the annual general assembly on the 18th of August 2022.
Thursday the 18th of August 2022 at 5pm, Dataproces Group A/S held the annual general assembly where the following was decided in accordance with the items on the agenda:
The general assembly took note of the report on Dataproces’ corporation in 2021/22.
The general assembly approved the annual report for 2021/22.
The general assembly approved the proposition from the Board of Directors, that no dividend is paid out for the financial year 2021/22 and approved to transfer the result to next financial year.
The general assembly approved the notice on discharge to the members of the Board of Directors and the Executive Board.
The general assembly approved the remuneration to the Board of Directors for the new financial year.
Hans Christian Maarup, Mille Tram Lux and Mikkel Ulstrup were all re-elected to the Board of Directors, Torben Haase was elected.
KPMG Statsautoriseret revisionsselskab was re-appointed as auditor.
New authorization for the Company’s Board of Directors to increase the Company’s capital without or with pre-emptive rights was adopted.
Immediately after the general assembly, the Board of Directors constituted itself with Hans Christian Maarup as chairman and Mille Tram Lux as vice chairman.
