Reference is made to the stock exchange announcement published by Måsøval AS (“Måsøval” or the “Company”) on 10 September 2023, regarding the proposed demerger and triangular merger.
The Extraordinary General Meeting of Måsøval has today approved the proposed demerger and triangular merger plan, whereby:
1. one employee, the commercial aquaculture licenses, the biomass, and the associated assets, rights and liabilities are transferred from Måsøval to Måsøval Hjelpeselskap Lisens AS (together referred to as the “Licenses” and “Biomass”), while certain operating assets, employees, and associated assets, rights and liabilities are transferred from Måsøval to Måsøval Hjelpeselskap Drift AS (together referred to as the “Operations”) by way of a demerger, and
2. simultaneously with the demerger, the Licences and Biomass is transferred from Måsøval Hjelpeselskap Lisens AS to Pure Farming AS through a merger of Måsøval Hjelpeselskap Lisens AS, and the Operations are transferred from Måsøval Hjelpeselskap Drift AS to Aqua Farms Vartdal AS through a merger of Måsøval Hjelpeselskap Drift AS. The shareholders of Måsøval Hjelpeselskap Lisens AS and Måsøval Hjelpeselskap Drift AS will receive remuneration through a share capital increase in Måsøval, which is the parent company of Pure Farming AS and Aqua Farms Vartdal AS, by increasing the nominal value of existing shares in Måsøval by an amount corresponding to the reduction amount in the Demerger.
The demerger and the triangular merger are conditional on each other and shall be registered in the Norwegian Register of Business Enterprises consecutively.

Det henvises til børsmelding publisert av Måsøval AS (“Måsøval” eller “Selskapet”) den 10. september 2023, vedørende den foreslåtte fisjonen og trekantfusjonen.
Den ekstraordinære generalforsamlingen i Måsøval har i dag vedtatt den foreslåtte fisjonen og trekantfusjonen, hvoretter:
1. Én ansatt, matfisktillatelsene, biomassen, og tilhørende eiendeler, rettigheter og forpliktelser (samlet omtalt som “Tillatelsene” og “Biomassen”) overføres fra Måsøval til Måsøval Hjelpeselskap Lisens AS, mens enkelte driftsmidler, ansatte, og tilhørende eiendeler rettigheter og forpliktelser (samlet omtalt som “Driften”) overføres fra Måsøval til Måsøval Hjelpeselskap Drift AS, gjennom en fisjon, og
2. Simultant med fisjonen overføres Tillatelsene og Biomassen fra Måsøval Hjelpeselskap Lisens AS til Pure Farming AS gjennom en fusjon av Måsøval Hjelpeselskap Lisens AS, og Driften overføres fra Måsøval Hjelpeselskap Drift AS til Aqua Farms Vartdal AS gjennom en fusjon av Måsøval Hjelpeselskap Drift AS. Aksjonærene i Måsøval Hjelpeselskap Lisens AS og Måsøval Hjelpeselskap Drift AS mottar vederlag i form av kapitalforhøyelse i Måsøval, som er morselskapet til Pure Farming AS og Aqua Farms Vartdal AS, ved at pålydende på eksisterende aksjer i Måsøval forhøyes med et beløp tilsvarende nedsettelsesbeløpet ved fisjonen.
Fisjonen og trekantfusjonen er betinget av hverandre og skal registreres gjennomført i Foretaksregisteret rett etterfølgende hverandre.
