Loihde Plc’s Board of Directors has approved the subscriptions made in the share issue related to the share-based incentive scheme for the Board
On 4 May 2023, Loihde Plc’s Annual General Meeting decided on a directed share issue related to the long-term share-based incentive scheme for the company’s Board of Directors, in which a maximum of 4,678 shares were issued for subscription by the members of the Board of Directors.
Today, the company’s Board of Directors has approved the subscriptions for shares made in the directed share issue. Six members of the Board of Directors subscribed for shares in the directed share issue for the Board of Directors, with the total number of shares being 3,843. The subscription price was EUR 14.82 per share. The subscription price is based on the volume-weighted average share price in April 2023, with a 10 per cent discount applied. The share subscription price will be entered in the company’s reserve for invested unrestricted equity.
As a result of the share issue, the total number of shares in Loihde Plc increases to 5,746,181 shares.
The new shares are estimated to be registered with the Trade Register on or about 6 July 2023 and trading in the new shares on Nasdaq First North Growth Market Finland, maintained by Nasdaq Helsinki Ltd, together with the old shares will commence on or about 7 July 2023.

Loihde Oyj:n hallitus on hyväksynyt hallituksen osakepohjaiseen palkkiojärjestelmään liittyvässä osakeannissa tehdyt merkinnät
Loihde Oyj:n yhtiökokous päätti 4.5.2023 yhtiön hallituksen pitkän aikavälin osakepohjaiseen palkkiojärjestelmään liittyvästä suunnatusta osakeannista, jossa hallituksen jäsenten merkittäväksi annettiin enintään 4 678 osaketta.
Yhtiön hallitus on tänään hyväksynyt suunnatussa osakeannissa tehdyt osakemerkinnät. Hallitukselle suunnatussa osakeannissa osakkeita merkitsi kuusi hallituksen jäsentä, yhteensä 3 843 osaketta. Merkintähinta oli 14,82 euroa osakkeelta. Merkintähinnan pohjana on käytetty osakkeen vaihdolla painotettua keskikurssia huhtikuussa 2023, mistä on vähennetty 10 prosentin alennus. Osakkeiden merkintähinta kirjataan yhtiön sijoitetun vapaan oman pääoman rahastoon.
Osakeannin jälkeen Loihde Oyj:n osakkeiden lukumäärä nousee yhteensä 5 746 181 kappaleeseen.
Uusien osakkeiden arvioitu rekisteröintipäivä kaupparekisteriin on 6.7.2023 ja uudet osakkeet ovat kaupankäynnin kohteena Nasdaq Helsinki Oy:n Nasdaq First North Growth Market Finland -markkinapaikalla yhdessä vanhojen osakkeiden kanssa arviolta 7.7.2023.
