Loihde Plc conducts a directed share issue to deliver the CEO’s share bonus
Today, on 7 January 2025, Loihde Plc’s Board of Directors has decided to issue 6,000 new shares as part of the CEO’s Restricted Share Plan (RSP).
On 26 February 2024, Loihde Board of Directors decided to launch a new conditional share-based incentive scheme, for the CEO. Under the terms of the scheme, in 2025, the CEO will be paid a gross share bonus equal to half of the number of Loihde shares that he has acquired at market conditions in March and April 2024, i.e. 6,000 shares. The payment of the share bonus is conditional on the employment of the CEO having been in force on 15 December 2024. The bonus will be paid entirely in shares.

The share issue is based on the authorisation granted by the Annual General Meeting held on 6 May 2021. The new shares are estimated to be registered in the Trade Register on 20 January 2025, and trading in the new shares on Nasdaq First North Growth Market Finland, maintained by Nasdaq Helsinki Ltd, together with the old shares, is estimated to commence on 21 January 2025. As a result of the share issue, the total number of shares in Loihde Plc will increase to 5,766,383.

Loihde Oyj:n suunnattu osakeanti toimitusjohtajan osakepalkkion luovuttamiseksi
Loihde Oyj:n hallitus on tänään 7.1.2025 päättänyt laskea liikkeelle 6 000 uutta osaketta osana toimitusjohtajan ehdollista osakepalkkiojärjestelmää.
Loihteen hallitus päätti 26.2.2024 käynnistää uuden ehdollisen osakepalkkiojärjestelmän yhtiön toimitusjohtajalle. Ohjelman ehtojen mukaisesti toimitusjohtajalle maksetaan vuonna 2025 osakepalkkio, jonka bruttomäärä on puolet hänen vuoden 2024 maalis-huhtikuussa markkinaehtoisesti hankkimiensa Loihteen osakkeiden määrästä, eli 6 000 osaketta. Osakepalkkion maksamisen ehtona on, että toimitusjohtajan toimisuhde on voimassa 15.12.2024. Palkkio maksetaan kokonaisuudessaan osakkeina.

Osakeanti perustuu varsinaisen yhtiökokouksen 6.5.2021 antamaan valtuutukseen. Uusien osakkeiden arvioitu rekisteröintipäivä kaupparekisteriin on 20.1.2025 ja uudet osakkeet ovat kaupankäynnin kohteena Nasdaq Helsinki Oy:n Nasdaq First North Growth Market Finland -markkinapaikalla yhdessä vanhojen osakkeiden kanssa arviolta 21.1.2025. Osakeannin jälkeen Loihde Oyj:n osakkeiden lukumäärä nousee yhteensä 5 766 383 kappaleeseen.
