Loihde Plc cancels treasury shares
The Board of Directors of Loihde Plc has decided to cancel a total of 407,218 treasury shares corresponding to 6.8% of the total number of shares and votes in the company. The cancellation does not affect the company’s share capital.
A total of 302,000 of these shares have been transferred to the company from the company’s joint book-entry account. On 6 May 2021, Loihde Plc’s Annual General Meeting decided that the rights to shares in the company’s joint account and the rights carried by those shares, such as dividends, are forfeited. The forfeiture concerned shares in paper form, if the registration of the shares in a shareholder’s book-entry account had not been validly requested by 30 June 2021. If a share certificate or corresponding document had been lost, a district court decision on the cancellation of the share certificate or corresponding document had to be presented and the other measures required for registering shares in a shareholder’s book-entry account had to be completed by 31 December 2021. After the processing of registration requests in the afore-mentioned manner, a total of 302,000 shares have been transferred to Loihde Plc from the joint book-entry account. There are still 500 shares in the joint account, as the processing of the registration requests concerning these shares is incomplete due to missing documents.
Of the shares to be cancelled, 25,088 shares have been acquired through the acquisition of own shares that was announced on 4 January 2022, and 80,130 shares were already held by the company.
After the cancellation, the total number of shares in Loihde Plc is 5,624,916 shares. The cancellation is effective after it is registered with the Trade Register.

Loihde Oyj mitätöi yhtiön hallussa olevia omia osakkeita
Loihde Oyj:n hallitus on päättänyt mitätöidä yhteensä 407 218 yhtiön hallussa olevaa omaa osaketta eli 6,8 % yhtiön osakkeiden kokonaismäärästä ja osakkeisiin liittyvistä äänistä. Mitätöinnillä ei ole vaikutusta yhtiön osakepääomaan.
Osakkeista 302 000 kpl on siirtynyt yhtiön haltuun yhtiön yhteistililtä. Loihde Oyj:n varsinainen yhtiökokous päätti 6.5.2021, että oikeudet yhtiön yhteistilillä oleviin osakkeisiin ja niihin perustuviin oikeuksiin, kuten osinkoon, menetetään. Menettämisseuraamus koski sellaisia paperimuotoisia osakkeita, joiden kirjaamista osakkeenomistajan arvo-osuustilille ei ollut pätevästi vaadittu 30.6.2021 mennessä. Jos osakekirja tai muu vastaava asiakirja on kadonnut, sen kuolettamista koskeva päätös oli esitettävä ja muut osakkeiden kirjaamisen osakkeenomistajan arvo-osuustilille edellyttämät toimenpiteet saatettava loppuun 31.12.2021 mennessä. Edellä kuvatun mukaisesti toimitettujen kirjaamisvaatimusten käsittelyn jälkeen Loihde Oyj:n haltuun on tullut yhteistililtä 302 000 osaketta. Yhteistilille jää 500 osaketta, joiden kirjaamisvaatimusten käsittely on puuttuvien asiakirjojen vuoksi kesken.
Mitätöitävistä osakkeista 25 088 osaketta yhtiö on hankkinut sen 4.1.2022 julkistaman omien osakkeiden osto-ohjelman kautta, ja 80 130 osaketta on ollut yhtiön omistuksessa ennestään.
Mitätöinnin jälkeen Loihde Oyj:n osakkeiden kokonaismäärä on 5 624 916. Mitätöinti tulee voimaan, kun se on merkitty kaupparekisteriin.
