Lifeline SPAC I Plc has on 1 October 2023 received from Mandatum Plc a notification in accordance with the Finnish Securities Market Act Chapter 9, Sections 5 and 7, according to which the legal entity exercising the ultimate control over the shares owned by Mandatum Life Insurance Company Ltd subject to the notification obligation has changed in connection with the partial demerger of Sampo Plc, from Sampo Plc to Mandatum Plc on 1 October 2023.
According to the notification, Mandatum Plc indirectly held in total 641,838 Lifeline SPAC I Plc’s Series A shares on 1 October 2023, which corresponds to 5.13 percent of all the shares and voting rights in Lifeline SPAC I Plc.

Lifeline SPAC I in brief
Lifeline SPAC I Plc is a Finnish Special Purpose Acquisition Company founded for corporate acquisitions. We raised capital with an offering and listed on the SPAC segment of the regulated market of Nasdaq Helsinki. Our objective is to carry out an acquisition within 36 months from the listing. We offer investors an opportunity to invest in companies that retail investors or many institutional investors otherwise would not be able to invest in, because these kinds of investments are typically made by later-stage private equity funds. Our aim is to generate profit for shareholders and increase the value of the target company by supporting its growth and development also after the acquisition. Our primary strategic goal is to identify and merge with an unlisted technology-focused Nordic company with high growth potential.

Suurimmat osakkeenomistajat – tiedote
Lifeline SPAC I Oyj on 1.10.2023 vastaanottanut Mandatum Oyj:ltä Arvopaperimarkkinalain 9. luvun 5. ja 7. pykälän mukaisen ilmoituksen, jonka mukaan Mandatum Henkivakuutusosakeyhtiön omistamien liputusvelvollisuuden alaisten osakkeiden ylintä määräysvaltaa käyttävä oikeushenkilö on vaihtunut Sampo Oyj:n osittaisjakautumisen yhteydessä Sampo Oyj:stä Mandatum Oyj:hin 1.10.2023.
Ilmoituksen mukaan Mandatum Oyj omisti 1.10.2023 välillisesti yhteensä 641 838 Lifeline SPAC I Oyj:n A-sarjan osaketta, mikä vastaa 5,13 prosenttia kaikista Lifeline SPAC I Oyj:n osakkeista ja äänistä.

Lifeline SPAC I lyhyesti
Lifeline SPAC I Oyj on suomalainen yritysostoja varten perustettu SPAC-yhtiö. Keräsimme pääomaa listautumisannilla ja listauduimme Nasdaq Helsingin säännellyn markkinan SPAC-segmentille. Tarkoituksenamme on toteuttaa yritysosto 36 kuukauden kuluessa listautumisesta. Tarjoamme mahdollisuuden sijoittaa kohteeseen, johon yksityissijoittajilla tai monilla institutionaalisilla sijoittajilla ei muuten olisi mahdollisuuksia sijoittaa, sillä tällaisia sijoituksia tekevät tyypillisesti myöhemmän vaiheen pääomasijoitusrahastot. Tavoitteenamme on aikaansaada tuottoa osakkeenomistajille ja kasvattaa kohdeyhtiön arvoa tukemalla sen kasvua ja kehitystä myös yhdistymisen jälkeen. Strategisena tavoitteenamme on ensisijaisesti tunnistaa pohjoismainen korkean kasvupotentiaalin omaava listaamaton teknologiapainotteinen kohdeyhtiö ja yhdistyä sen kanssa.
