GRK Infra Plc Stock exchange release 2 December 2025 at 1.00 p.m. EET
GRK Infra Plc (“GRK” or the “Company”) has on 2 December 2025 received a notification in accordance with Chapter 9, Section 5 of the Finnish Securities Markets Act from Keijo Haavikko, according to which Keijo Haavikko’s total holding in shares in GRK has exceeded ten (10) per cent on 2 December 2025. According to the notification, the reason for the notification is an event changing the breakdown of shares and voting rights. The notification concerns the exceeding of the notification threshold due to the cancellation of GRK’s treasury shares.
As stated in the notification, GRK announced on 27 November 2025 that the Company’s Board of Directors had resolved to cancel all treasury shares held by the Company, totaling 2,312,092 shares. GRK announced on 2 December 2025 that the cancellation of the own shares has been registered with the Trade Register maintained by the Finnish Patent and Registration Office on 2 December 2025. After the cancellation of the shares, the total number of shares in GRK has decreased to 40,969,231, as a result of which Keijo Haavikko’s total holding in shares in GRK has increased to 10.18 per cent. GRK has one series of shares in which each share carries one vote.

Suurimmat osakkeenomistajat – tiedote
GRK Infra Oyj Pörssitiedote 2.12.2025 klo 13.00
GRK Infra Oyj (“GRK” tai “Yhtiö”) on 2.12.2025 vastaanottanut Keijo Haavikolta arvopaperimarkkinalain 9 luvun 5 §:n mukaisen ilmoituksen, jonka mukaan Keijo Haavikon osuus GRK:n osakkeista on 2.12.2025 ylittänyt kymmenen (10) prosenttia. Ilmoituksen mukaan ilmoituksen perusteena on osakkeiden tai äänioikeuksien jakautumista muuttava tapahtuma. Ilmoitus koskee GRK:n omien osakkeiden mitätöinnin johdosta tapahtunutta liputusrajan ylittymistä.
Ilmoituksessa todetusti GRK tiedotti 27.11.2025 Yhtiön hallituksen päätöksestä mitätöidä kaikki Yhtiön hallussa olevat omat osakkeet, joita oli yhteensä 2 312 092. GRK tiedotti 2.12.2025, että omien osakkeiden mitätöinti on rekisteröity Patentti- ja rekisterihallituksen ylläpitämään kaupparekisteriin 2.12.2025. Osakkeiden mitätöinnin myötä GRK:n osakkeiden kokonaismäärä on laskenut 40 969 231 osakkeeseen, minkä seurauksena Keijo Haavikon omistusosuus GRK:ssa on noussut 10,18 prosenttiin. GRK:lla on yksi osakesarja, jossa kullakin osakkeella on yksi ääni.
