GRK Infra Plc Stock exchange release 2 December 2025 at 1.00 p.m. EET
GRK Infra Plc (“GRK” or the “Company”) has filed on 2 December 2025 the following notification in accordance with Chapter 9, Section 5 of the Finnish Securities Markets Act, according to which GRK’s total holding of own shares has decreased below five (5) per cent of GRK’s shares and votes on 2 December 2025. The reason for the notification is an event changing the breakdown of shares and voting rights. The notification concerns the falling below of the notification threshold due to the cancellation of GRK’s treasury shares.
The notification relates to the resolution made by the Company’s Board of Directors on 27 November 2025 to cancel all treasury shares held by the Company, totaling 2,312,092 shares. As announced by GRK on 2 December 2025, the cancellation of the own shares has been registered with the Trade Register maintained by the Finnish Patent and Registration Office on 2 December 2025. At the moment, GRK or its subsidiaries do not hold any shares in the Company. GRK has one series of shares in which each share carries one vote.

GRK Infra Oyj Pörssitiedote 2.12.2025 klo 13.00
GRK Infra Oyj (“GRK” tai “Yhtiö”) on toimittanut 2.12.2025 seuraavan arvopaperimarkkinalain 9 luvun 5 §:n mukaisen ilmoituksen, jonka mukaan GRK:n omien osakkeiden osuus GRK:n osakkeista ja äänistä on 2.12.2025 alittanut viisi (5) prosenttia. Ilmoituksen perusteena on osakkeiden tai äänioikeuksien jakautumista muuttava tapahtuma. Ilmoitus koskee GRK:n omien osakkeiden mitätöinnin johdosta tapahtunutta liputusrajan alittumista.
Ilmoitus liittyy Yhtiön hallituksen 27.11.2025 tekemään päätökseen mitätöidä kaikki Yhtiön hallussa olevat omat osakkeet, joita oli yhteensä 2 312 092. Kuten GRK tiedotti 2.12.2025, omien osakkeiden mitätöinti on rekisteröity Patentti- ja rekisterihallituksen ylläpitämään kaupparekisteriin 2.12.2025. Tällä hetkellä GRK:lla tai sen tytäryhteisöillä ei ole hallussaan Yhtiön osakkeita. GRK:lla on yksi osakesarja, jossa kullakin osakkeella on yksi ääni.
