Gofore Plc’s directed share issue for the transfer of shares in employee share savings plan
As a part of the Gofore Group’s employee share savings plan, CrewShare, Gofore Plc’s Board of Directors has resolved today to issue a total of 31,783 new shares. The new shares issued account for matching shares paid on the basis of the savings period 2020–2021 (CrewShare 2020) and savings shares acquired with savings from the savings period 2022–2023 (CrewShare 2022). More detailed information about the plan and its savings periods were published in the company announcement on 28 September 2018 and the stock exchange release on 24 January 2022.
The share issue is based on the authorisation by the Annual General Meeting held on 25 March 2022.
A total of 4,392 new shares are issued without consideration to the plan participants of CrewShare 2020 as a matching reward against the savings shares acquired with the savings from the savings period 2020–2021, in accordance with the plan terms.
A total of 27,391 new shares are issued to the CrewShare 2022 participants with the second savings set of the savings period 2022–2023, i.e. the savings accrued during 1 September 2022 – 28 February 2023. The shares have been subscribed for at a price of EUR 23.2889 per share, which is based on the trade volume weighted average share price at the official list of the Helsinki Stock Exchange administered by Nasdaq Helsinki Ltd during 1–28 February 2022 with a 10% discount. A total subscription price of the shares is EUR 637,906.
The new shares of the CrewShare 2020 plan are expected to be entered into the Trade Register on or about 21 March 2023, and trading in the new shares is expected to begin on the official list of the Helsinki Stock Exchange administered by Nasdaq Helsinki Ltd on 22 March 2023, and the new shares of the CrewShare 2022 plan are expected to be entered into the Trade Register on or about 20 March 2023, and trading in the new shares is expected to begin on the official list of the Helsinki Stock Exchange administered by Nasdaq Helsinki Ltd on 21 March 2023.
Following the registration of the new shares, the total number of the company shares is 15,537,915. The share subscription price will be credited in full to the company’s reserve for invested unrestricted equity.

Gofore Oyj toteuttaa suunnatun osakeannin henkilöstön osakesäästöohjelmassa
Gofore Oyj:n hallitus on tänään päättänyt yhteensä 31 783 uuden osakkeen liikkeelle laskemisesta osana konsernin henkilöstön CrewShare-osakesäästöohjelmaa. Uudet osakkeet ovat ohjelman säästökauden 2020–2021 (CrewShare 2020) perusteella palkkiona maksettavia lisäosakkeita ja säästökaudelta 2022–2023 (CrewShare 2022) kertyneillä säästöillä hankittavia säästöosakkeita. Ohjelmasta ja sen säästökausista on tiedotettu tarkemmin 28.9.2018 julkaistussa yhtiötiedotteessa ja 24.1.2022 julkaistussa pörssitiedotteessa.
Osakeanti perustuu varsinaisen yhtiökokouksen 25.3.2022 antamaan valtuutukseen.
CrewShare 2020 -ohjelmassa luovutetaan vastikkeetta yhteensä 4 392 uutta osaketta lisäosakkeina säästökaudella 2020–2021 hankittuja säästöosakkeita vastaan ohjelman ehtojen mukaisesti.
CrewShare 2022 -ohjelman perusteella lasketaan liikkeeseen yhteensä 27 391 uutta osaketta ja ne ovat säästökauden 2022–2023 toisen erän eli ajanjaksolta 1.9.2022–28.2.2023 kertyneillä säästöillä osallistujille hankittavia säästöosakkeita. Osakkeet on merkitty hintaan 23,2889 euroa/osake, joka perustuu osakkeen vaihdolla painotettuun keskikurssiin Nasdaq Helsinki Oy:n päämarkkinapaikalla 1.–28.2.2023 ja siitä laskettuun 10 prosentin alennukseen. Osakkeiden merkintähinta on yhteensä 637 906 euroa.
CrewShare 2020 -ohjelman uudet osakkeet merkitään kaupparekisteriin arviolta 21.3.2023 ja kaupankäynti uusilla osakkeilla alkaa Nasdaq Helsinki Oy:n päämarkkinapaikalla arviolta 22.3.2023, ja CrewShare 2022 -ohjelman uudet osakkeet merkitään kaupparekisteriin arviolta 20.3.2023 ja kaupankäynti uusilla osakkeilla alkaa Nasdaq Helsinki Oy:n päämarkkinapaikalla arviolta 21.3.2023.
Yhtiön osakkeiden lukumäärä on uusien osakkeiden rekisteröinnin jälkeen 15 537 915 osaketta. Merkintähinta kirjataan kokonaisuudessaan yhtiön sijoitetun vapaan oman pääoman rahastoon.
