Gofore begins share purchase programme
Gofore Plc’s Board of Directors has decided to begin a purchase programme of the company’s own shares based on the authorization granted by the Annual General Meeting on 24 March 2023. Purpose of the purchase programme is to acquire the company’s own shares to be used in obligations related to current and possibly future incentive arrangements the staff of the Gofore Group and share-based rewards paid to key people.
The maximum number of shares to be purchased is 100,000, which corresponds to less than one percent of the company’s shares. However, no more than EUR 2.5 million will be used to acquire the shares. The shares shall be acquired otherwise than in proportion to the holdings of the shareholders in public trading organized by Nasdaq Helsinki Oy at the market price at the time of acquisition or otherwise at market price. The purchase of the company’s own shares shall commence at the earliest on 1 November 2023 and shall end at the latest on 19 January 2024. The purchase of shares will be funded with the company’s distributable unrestricted shareholders’ equity.
Gofore has appointed Evli Plc as the manager of the share purchase programme. The manager will make trading decisions independently of and without influence from Gofore, within the announced limits. This also applies to the timing of purchases.
Gofore can suspend or terminate the programme before its planned end date. In this case, Gofore issues a related stock exchange release. Before beginning the share purchase programme, Gofore has no own shares in its possession. Gofore Plc has a total of 15,660,139 shares.
The purchases will be carried out in accordance with the so-called safe harbor procedure referred to in the EU Market Abuse Regulation (Regulation No. 596/2014) and the Commission Delegated Regulation (EU) 2016/1052.

Gofore aloittaa omien osakkeiden hankinnan
Gofore Oyj:n hallitus on päättänyt aloittaa yhtiön omien osakkeiden hankintaohjelman varsinaisen yhtiökokouksen 24.3.2023 antaman valtuutuksen perusteella. Hankintaohjelman tarkoituksena on hankkia omia osakkeita käytettäväksi sellaisten velvoitteiden täyttämiseksi, jotka johtuvat nykyisten ja mahdollisten tulevien kannustinjärjestelyjen mukaisesti Gofore-konsernin henkilöstölle ja avainhenkilöille maksettavista osakepohjaisista palkkioista.
Hankittavien osakkeiden enimmäismäärä on enintään 100 000 kappaletta, joka vastaa alle yhtä prosenttia yhtiön osakkeista. Osakkeiden hankintaan käytetään kuitenkin enintään 2,5 miljoonaa euroa. Osakkeet hankitaan muuten kuin osakkeenomistajien omistusten mukaisessa suhteessa Nasdaq Helsinki Oy:n järjestämässä julkisessa kaupankäynnissä hankintahetken markkinahintaan tai muuten markkinoilla muodostuvaan hintaan. Omien osakkeiden hankinta aloitetaan aikaisintaan 1.11.2023 ja lopetetaan viimeistään 19.1.2024. Osakkeet hankitaan käyttämällä yhtiön vapaata omaa pääomaa ja kirjaamalla hankinnat vähennyksinä kertyneistä voittovaroista.
Gofore on nimittänyt Evli Oyj:n hankintaohjelman järjestäjäksi. Järjestäjä tekee kaupankäyntipäätökset itsenäisesti ja Goforesta riippumatta ilmoitettujen rajojen mukaisesti. Tämä koskee myös kauppojen ajoitusta.
Gofore voi keskeyttää tai lopettaa ohjelman ennen sen suunniteltua päättymisajankohtaa. Tällöin Gofore julkaisee asiasta pörssitiedotteen. Ennen hankintaohjelman aloittamista Goforella ei ole hallussaan omia osakkeita. Gofore Oyj:llä on yhteensä 15 660 139 osaketta.
Osakkeet hankitaan EU:n markkinoiden väärinkäyttöasetuksen (EU) 596/2014 ja komission delegoidun asetuksen (EU) 2016/1052 ns. turvasatamasääntelyn mukaisesti.
