Sampos generalforsamling bemyndiger Sampos bestyrelse til udstedelsen af nye A-aktier i forbindelse med det offentlige overtagelsestilbud til aktionærerne i Topdanmark
MÅ IKKE OFFENTLIGGØRES, UDLEVERES ELLER PUBLICERES HELT ELLER DELVIST, DIREKTE ELLER INDIREKTE, I ELLER TIL AUSTRALIEN, HONGKONG, JAPAN, NEW ZEALAND, SYDAFRIKA ELLER SINGAPORE ELLER NOGEN ANDEN JURISDIKTION, HVOR OFFENTLIGGØRELSE ELLER UDLEVERING ER ULOVLIG.
Med henvisning til meddelelse nr. 9/2024 af 17. juni 2024 vedrørende indgåelse af en aftale mellem Topdanmark A/S (”Topdanmark”) og Sampo plc (”Sampo”), i henhold til hvilken Sampo vil fremsætte et anbefalet købstilbud (aktieombytningstilbud) til aktionærerne i Topdanmark for op til alle aktier (undtagen Topdanmarks egne aktier og aktier allerede ejet af Sampo) i Topdanmark (”Købstilbuddet”), har Sampo i dag offentliggjort, at der på en ekstraordinær generalforsamling i Sampo den 9. juli 2024 er givet bemyndigelse til Sampos bestyrelse til at udstede nye A-aktier som vederlag til aktionærerne i Topdanmark i Købstilbuddet. General meeting of Sampo authorises Sampo’s board of directors to issue new A shares in connection with the public tender offer to the shareholders of Topdanmark
NOT FOR PUBLICATION, DISTRIBUTION OR RELEASE, IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, IN OR INTO AUSTRALIA, HONG KONG, JAPAN, NEW ZEALAND, SOUTH AFRICA OR SINGAPORE OR ANY OTHER JURISDICTION IN WHICH PUBLICATION OR DISTRIBUTION WOULD BE UNLAWFUL.
With reference to announcement no. 9/2024 of 17 June 2024 regarding the entering into of an agreement between Topdanmark A/S (”Topdanmark”) and Sampo plc (”Sampo”), pursuant to which Sampo will make a recommended public tender offer (share exchange offer) to the shareholders of Topdanmark for up to all shares (except treasury shares and shares already held by Sampo) in Topdanmark (the “Exchange Offer”), Sampo has today announced that an extraordinary general meeting of Sampo has on 9 July 2024 authorised Sampo’s Board of Directors to issue new A shares as consideration to the shareholders of Topdanmark in the Exchange Offer.
