Final results of the voluntary cash offer by EG Norge AS to acquire all shares in Ørn Software (ORN)

Reference is made to the announcement made on 30 May 2022, regarding the voluntary cash offer by EG Norge AS (“EG” or the “Offeror”) to acquire all outstanding shares of Ørn Software Holding AS (“Ørn Software” or the “Company”) at a price of NOK 6.25 per share (the “Offer”) as well as the announcement regarding minimum acceptances of the offer period.
Following the final verification of acceptances, the Offeror has received acceptances under the Offer for a total of 90,735,265 shares, equivalent to approximately 96,12% of the shares and votes in the Company.
Consequently, the closing condition relating to minimum acceptance has therefore been fulfilled. As of the date of this announcement, the Offeror’s is awaiting regulatory approvals in Finland as further described in the Offer Document. A separate announcement will be made once such regulatory approvals have been obtained.
As a result of receiving acceptances from shareholders representing more than 90% of the shares and votes in the Company, and following completion of the Offer, EG intends to make a compulsory acquisition of the remaining shares in the Company pursuant to Section 4-26 of the Norwegian Private Limited Liability Companies Act. The price per share in the compulsory acquisition is expected to be the same as in the Offer. It is expected that settlement for shares acquired in connection with such compulsory acquisition will take place approximately 3 months after completion of the Offer.
