Denne selskabsmeddelelse indeholder intern viden.Bestyrelsen i FOM Technologies A/S (“FOM Technologies” eller “Selskabet”) har besluttet at udstede 10.000 nye aktier i overensstemmelse med selskabsmeddelelse om tildeling af incitaments- og fastholdelsesprogram, som Selskabet offentliggjorde den 21. maj 2021.På et ekstraordinært bestyrelsesmøde d. 27. marts 2024 har bestyrelsen i FOM Technologies A/S (“FOM Technologies” eller “Selskabet”) besluttet at udstede 10.000 nye aktier, i overensstemmelse med selskabsmeddelelse om tildeling af incitaments- og fastholdelsesprogram, som Selskabet offentliggjorde den 21. maj 2021. Tegningskursen for de tildelte warrants er DKK 20,00 pr. aktie. Ved exercise af ovenstående warrants vil FOM Technologies modtage et provenu på DKK 200.000 før fradrag af omkostninger relateret til udnyttelsen af warrants.
Udstedelsen af i alt 10.000 aktier a nominelt DKK 0,10 medfører en udvanding af de eksisterende aktionærer på ca. 0,11 procent i antallet af aktier og stemmer i Selskabet efter gennemførelsen af transaktionen, som følge af en stigning i antallet af udestående aktier og stemmer på 10.000, fra 9.354.696 aktier til 9.364.696 aktier. Aktiekapitalen forhøjes fra DKK 935.469,60 til DKK 936.469,60.

This information is information that FOM Technologies A/S is obliged to make public pursuant to the EU Market Abuse Regulation. This announcement contains insider information.The board of directors of FOM Technologies A/S (“FOM Technologies” or the “Company”) has decided to issue 10.000 new shares in accordance with the announcement on the allocation of the incentive and retention program published on 27st of May 2021.At an extraordinary board meeting on 27 March 2024, the board of directors of FOM Technologies A/S (“FOM Technologies” or the “Company”) has decided to issue 10.000 new shares, in accordance with the company announcement on the allocation of the incentive and retention program that the Company published on 21 May 2021. The subscription price for the allocated warrants is DKK 20,00 per share. Upon exercise of the above warrants, FOM Technologies will receive proceeds of DKK 200.000 before deduction of costs related to the exercise of the warrants.
Issuing the total of 10.000 shares with a nominal value of DKK 0,10 will dilute existing shareholders by approx. 0,11 percent of the number of shares and votes in the Company after completion of the transaction, as a result of an increase in the number of outstanding shares and votes of 10.000, from 9.354.696 to 9.364.696. The share capital is increased from DKK 935.469,60 to DKK 936.469,60.
