Oslo 13 July 2021: Reference is made to the stock exchange announcement issued on 2 July 2021, where EcoOnline Holding AS (the "Company") informed that incoming CFO, Siw Ødegaard, as part of the Company's employee stock purchase plan, will invest a total of NOK 3 million in the Company against issuance of 160,000 new shares. Further reference is made to the stock exchange announcement issued on 9 July 2021, where the Company informed that EcoOnline AS has entered into a share purchase agreement for the acquisition of 100% of the shares in Pilotech AS, in which NOK 4 million of the purchase price shall be settled by three of the sellers reinvesting in the Company.
The mentioned investments were successfully completed today, by the Company’s board of directors pursuant to a board authorization resolving on
(i) a share capital increase of NOK 16,000 directed towards Siw Ødegaard (through Kvinnesiden AS) by issuance of 160,000 new shares at a subscription price per share equal to a 25% discount to the IPO price of NOK 25 due to a 3-year lock up, resulting in a total subscription amount of NOK 3 million to be settled by cash payment to the Company; and
(ii) a share capital increase of NOK 16,000 directed towards Morten Køpke, Harald Axelsen and Martin Nguyen (all being sellers and key employees of Pilotech AS) by issuance of 145,657 shares, 12,389 shares and 1,964 shares, respectively, in total 160,000 new shares, at a subscription price per share of NOK 25 resulting in a total subscription amount of NOK 4 million to be settled by contribution in kind to the Company (such contribution in kind being a sellers’ credit to be issued in connection with completion of the Pilotech transaction).
The resolution under item (ii) above is subject to completion of the share purchase agreement for the acquisition of Pilotech AS, which is expected to take place during July 2021.
