Reference is made to the stock exchange announcement published by Måsøval AS (“Måsøval” or the “Company”) on 10 September 2023, regarding the proposed demerger and triangular merger.
An extraordinary general meeting will be held in the Company on 25 September 2023 at 11.00 am at the Company’s offices in Nordfrøyveien 413, 7260 SISTRANDA, Norway, to deal with the proposed demerger and triangular merger.
Notice to the extraordinary general meeting will be sent electronically to all shareholders with a known address, and is also attached to this notification and made available at the Company’s website: https://www.masoval.no/. The demerger and triangular merger plan including appendices will also be made available at the Company’s website.
The corrected notice of the extraordinary general meeting of 25 September 2023 does not entail any material changes from the notice published earlier today. The corrected notice of extraordinary general meeting includes information that it is only those who are registered as shareholders in the Norwegian Central Securities Depository (VPS) five business days prior to the General Meeting, i.e. on 18 September 2023 (record date), who are allowed to participate and vote at the general meeting, and information regarding nominee-registered shareholders that wish to participate in the general meeting are to notify the company.

Det henvises til børsmelding publisert av Måsøval AS (“Måsøval” eller “Selskapet”) den 10. september 2023, vedørende den foreslåtte fisjonen og trekantfusjonen.
Det vil avholdes ekstraordinær generalforsamling i Selskapet den 25. september 2023 kl. 11.00 i Selskapets lokaler i Nordfrøyveien 413, 7260 SISTRANDA, for å behandle den foreslåtte fisjonen og trekantfusjonen.
Innkalling til ekstraordinær generalforsamling vil bli sendt elektronisk til alle aksjonærer med kjent adresse, og er også vedlagt børsmeldingen og gjort tilgjengelig på Selskapets nettside: https://www.masoval.no/. Fisjons- og trekantfusjonsplan inkludert vedlegg vil også gjøres tilgjengelig på Selskapets hjemmeside.
Den korrigerte innkallingen til ekstraordinær generalforsamling den 25. september 2023 holder ingen materielle endringer fra innkallingen publisert tidligere i dag. Den korrigerte innkallingen til ekstraordinær generalforsamling inneholder informasjon om at det er kun de som er registrert som aksjeeier i Verdipapirregisteret (VPS) fem virkedager før generalforsamlingen, dvs. per 18. september 2023 (registreringsdatoen) som har lov til å delta og stemme på generalforsamlingen, samt informasjon om forhåndspåmelding for eiere av forvalterregistrerte aksjer.
