GRK INFRA PLC STOCK EXCHANGE RELEASE 29 SEPTEMBER 2025 at 12:30 p.m. EEST The General Meeting of GRK Infra Plc on March 5, 2025, decided to establish a Shareholders’ Nomination Board. The Nomination Board prepares annual proposals concerning the composition and remuneration of the Board of Directors for the Annual General Meeting.
The right to appoint a member to the Shareholders’ Nomination Board lies with those three shareholders whose share of the votes of all shares in the company is largest, based on the company’s shareholders’ register held by Euroclear Finland Ltd as on the first business day of September of the preceding calendar year of the Annual General Meeting. The biggest shareholders are Keijo Haavikko, Ilmarinen Mutual Pension Insurance Company and Finnish Industry Investment Ltd (Tesi).
GRK Infra Plc’s three largest shareholders have appointed the following members to the Shareholders’ Nomination Board:

Juulia Kurunsaari, EVP, General Counsel, Ilmarinen Mutual Pension Insurance Company
Mikael Niemi, Investment Director, Finnish Industry Investment Ltd (Tesi)
In addition, the Shareholders’ Nomination Board includes GRK’s Chairman of the Board of Directors, Kari Kauniskangas, as an expert member without the right to participate in decision-making.
The Nomination Board has appointed Keijo Haavikko as the Chair.

GRK Infra Oyj:n yhtiökokous 5.3.2025 päätti perustaa osakkeenomistajien nimitystoimikunnan. Nimitystoimikunnan tehtävänä on vuosittain valmistella hallituksen jäsenten valintaa ja hallituksen jäsenten palkitsemista koskevat ehdotukset varsinaiselle yhtiökokoukselle. Oikeus nimitystoimikunnan jäsenten nimeämiseen on niillä kolmella osakkeenomistajalla, joiden osuus yhtiön kaikkien osakkeiden tuottamista äänistä on Euroclear Finland Oy:n pitämän yhtiön osakasluettelon perusteella suurin seuraavaa varsinaista yhtiökokousta edeltävän kalenterivuoden syyskuun ensimmäisenä arkipäivänä. Suurimmat osakkeenomistajat ovat Keijo Haavikko, Keskinäinen Eläkevakuutusyhtiö Ilmarinen ja Suomen Teollisuussijoitus Oy (Tesi). Kolme suurinta osakkeenomistajaa ovat nimenneet osakkeenomistajien nimitystoimikuntaan seuraavat jäsenet:

Nimitystoimikunta on valinnut toimikunnan puheenjohtajaksi Keijo Haavikon.
