Astralis A/S increases its share capital in connection with the acquisition of certain assets from US company Flood Waters Inc.
Astralis A/S announces that the company’s share capital will be increased by 652,830 new shares with a nominal value of DKK 0.01 each, corresponding to a capital increase of nominally DKK 6,528.30 as a consequence of exercise of authorization by the board of directors, in accordance with the Company’s articles of association section 3.2, to increase the share capital through a directed issue.
The new shares are issued as consideration in connection with the acquisition by Astralis A/S of certain assets from the US company Flood Waters Inc. directly or indirectly relating to “Disrupt Gaming”, including a “Rainbow 6 Team” and certain related social media channels as published in company announcement no. 12, 2021, and the new shares have been subscribed for by Flood Waters Inc.
The total consideration is DKK 3,147,950 and equal to a price per share of DKK 4.82 (rounded).
Application will be made for admission to trading of the new shares on Nasdaq First North Growth Market Denmark following registration of the capital increase with the Danish Business Authority (expected 1 October 2021), upon which the share capital of Astralis A/S will be DKK 576,561.55 divided into 57,656,155 shares of DKK 0.01 each.
The shares thus subscribed shall have the same rights as the other shares in the company. The rights shall enter into force upon the registration of the share subscription with the Danish Business Authority. Each share of DKK 0.01 carries one vote at general meetings.
