Kjartan Jensen træder som planlagt tilbage som CEO i Dataproces. Ny CEO på posten bliver Michael Binderup, der kommer med solid ledererfaring både fra den offentlige og private sektor.
Direktionen udvides samtidig med COO Kristina Koed, der gennem de seneste 11 år har bidraget til Dataproces udvikling, og som kender forretning og kunder til mindste detalje.
Fra den 15. juni 2023 skal Michael Binderup og Kristina Koed tilsikre den fortsatte vækst af SaaS forretningen på det danske offentlige marked, samt fortsat udvikle analyseforretningen.
Direktionen i Dataproces Group A/S vil således fra 15. juni 2023 bestå af: Administrerende direktør Michael Binderup og COO Kristina Koed
Kjartan Jensen fortsætter i Dataproces i en ny kundevendt rolle:
’’Jeg er meget tilfreds med at det er lykkedes bestyrelsen at hente Michael til som ny CEO, han har netop den profil der er behov for til den næste fase. At Kristina samtidig løftes ind i direktionen, bliver en fordel for både Michael og bestyrelsen og kommer til at sikre den kommende strategis forankring i den nuværende forretning.’’

Michael Binderup kommer med stor erfaring i det offentlige marked, hvor han selv har haft chef- og lederposter i Aalborg og Jammerbugt Kommune indenfor bl.a. økonomi, HR og digitalisering. Senest har han arbejdet med strategi, forretningsudvikling og bid-management i KMD.
Michael Binderup, ny CEO:

Mit fokus bliver at sikre kursen der er lagt for det kommende regnskabsår og i samarbejde med bestyrelsen udarbejde strategien for, hvordan vi kan udvide med nye markeder.”
Michael Binderup er uddannet Cand. Scient. Adm. fra Aalborg Universitet og tiltræder som CEO i Dataproces den 15. juni 2023.
Kristina Koed, COO:
” Jeg er både stolt og glad for at blive en del af direktionen og bidrage til den fortsætte udvikling i Dataproces – både i analyse- og SaaS-forretningen. Derudover glæder jeg mig til det kommende samarbejde med bestyrelsen og ikke mindst vores nye CEO Michael Binderup.”
Bestyrelsesformand HC Maarup:
’’Bestyrelsen glæder sig til samarbejdet med både ny CEO Michael Binderup og COO Kristina Koed i den nye direktion. Vi har haft en god og konstruktiv proces i arbejdet med at finde en ny CEO, som både kan styrke nutiden og understøtte den fremtidige vækst, det er nu lykkedes med Michael Binderup. Samtidig er vi i bestyrelsen glade for, at Kristina Koed vil varetage en endnu større rolle i Dataproces.’’
Som en del af aflønningsmodellen har bestyrelsen valgt at benytte sig af sin bemyndigelse i vedtægternes pkt. 4.2 og udstedt warrantaftaler til de to nye direktionsmedlemmer. Warrants tildeles vederlagsfrit, og uden yderligere betingelser knyttet til tildelingen.
Warrantprogramment løber over 3 år; 2024, 2025 og 2026. Programmet bevirker, at der maksimalt udstedes 650.000 nye aktier over de 3 år svarende til nominelt kr. 13.000 DKK af selskabskapitalen. Antallet kan blive mindre, idet de individuelle aftaler bortfalder ved ophør af ansættelse.
Det endelige warrantprogram er baseret på en vægtet gennemsnitskurs over 30 handelsdage af den noterede kurs på Selskabet til og med den 10. maj 2023, som er beregnet til DKK 2,15 DKK.
Ved tegning af nye aktier gennem warrantprogrammets modningsperioder, vil de nytegnede aktier hver gang blive omfattet af en 12 måneders lock-up periode.
Bemyndigelsen i vedtægternes pkt. 4.2 nedsættes til nominelt kr. 111.629,56, og selskabets vedtægter vil blive opdateret i overensstemmelse.

As planned Kjartan Jensen is stepping down as CEO of Dataproces. The new CEO taking over will be Michael Binderup, who has solid leadership experience from both the public and private sectors.
The management of Dataproces is being expanded at the same time with COO Kristina Koed, who over the past 11 years has contributed to Dataproces’ development, and who knows the business and customers to the last detail.
From June 15th 2023, Michael Binderup and Kristina Koed will ensure the continued growth of the SaaS business on the Danish public market, as well as continued development of the Data Analysis business.
The management in Dataproces Group A/S will from June 15th 2023 consist of: CEO Michael Binderup and COO Kristina Koed.
Kjartan Jensen continues in Dataproces in a new costumer focused role:

Michael Binderup come with extensive experience in the public market, where he has held management and leadership positions both in Aalborg and Jammerbugt Municipality within, among other things, finance, HR and digitalization. Most recently, he has worked with strategy, business development and bid-management at KMD.
Michael Binderup, new CEO:
”I am proud of and happy to have the opportunity to pass on the baton after Kjartan Jensen. I have followed Dataproces’ development from the customer side, and see enormous potential for the future. My focus will be to secure the course set for the coming financial year, and in collaboration with the board, prepare the strategy for how we expand into new markets.”
Michael Binderup is educated Cand. Scientist. Adm. from Aalborg University and will take over the position as CEO of Dataproces on June 15th 2023.
Kristina Koed, COO:
“I am both proud and happy to become part of the management and contribute to the continued development of Dataproces – both in the analysis and SaaS business. In addition, I am looking forward to the future collaboration with the board and not least our new CEO Michael Binderup.”
Chairman of the board HC Maarup:
”The board is looking forward to the collaboration with both new CEO Michael Binderup and COO Kristina Koed in the new management. We have had a good and constructive process in the work of finding a new CEO, who can both strengthen the present and support future growth. We have now succeeded with Michael Binderup. At the same time, we on the board are happy that Kristina Koed will take on an even larger role in Dataproces.’
As part of the remuneration model, the board has chosen to use its authorization in the articles of association. 4.2 and issued warrant agreements to the two new members of the management. Warrants are awarded free of charge, and without any additional conditions attached to the award
The warrant program runs over 3 years; 2024, 2025 and 2026. The program causes a maximum of 650.000 new shares to be issued over the 3 years, corresponding to a nominal DKK 13.000 of the company’s capital. The number may be smaller, as the individual agreements expire upon termination of employment.
The final warrant program is based on a weighted average price over 30 trading days of the quoted price of the Company up to and including May 10th 2023, which is calculated at DKK 2,15.
When subscribing for new shares through the warrant program’s maturity periods, the newly subscribed shares will each time be subject to a 12-month lock-up period.
The authorization in the articles of association 4.2 is reduced to nominal DKK 111.629.56, and the company’s articles of association will be updated accordingly.
