Digital Workforce Services Plc has decided to start the acquisition of the company’s own shares
Based on the authorization given by the Annual General Meeting on 13 April 2023, the Board of Directors of Digital Workforce Services Plc has decided to start the acquisition of the company’s own shares. The maximum number of shares to be acquired is 110 000 which corresponds to approximately 1 per cent of the company’s shares. However, the amount used for acquiring shares will be at most EUR 250 000.
The shares are acquired otherwise than in proportion to the shareholdings of the shareholders by public trading at the market price at the time of acquisition on the Nasdaq First North Growth Market Finland marketplace maintained by Nasdaq Helsinki Oy. The acquisition of the company’s own shares starts on 13 December 2023 at the earliest and ends on 30 June 2024 at the latest. The acquisition of the company’s own shares is paid for with the company’s distributable unrestricted equity.
The purpose of the acquisition of the company’s own shares is to use the shares as a vehicle in potential acquisitions, possibly as part of the company’s share-based incentive schemes, and otherwise to be reassigned, held by the company, or cancelled.
The Annual General Meeting held on 13 April 2023 authorized the Board of Directors to decide on the acquisition of at most 1 118 278 of the company’s own shares.
Digital Workforce Services Plc has a total of 11 251 128 shares and votes. Currently, Digital Workforce Services Plc holds 0 of its own shares.

Digital Workforce Services Oyj aloittaa omien osakkeiden hankinnan
Digital Workforce Services Oyj:n hallitus on päättänyt varsinaisen yhtiökokouksen 13.4.2023 antaman valtuutuksen perusteella aloittaa yhtiön omien osakkeiden hankinnan. Hankittavien osakkeiden enimmäismäärä on 110 000, joka vastaa noin 1 prosenttia yhtiön osakkeista. Osakkeiden hankintaan käytetään kuitenkin enintään 250 000 euroa.
Osakkeet hankitaan muuten kuin osakkeenomistajien omistusten mukaisessa suhteessa Nasdaq Helsinki Oy:n ylläpitämällä Nasdaq First North Growth Market Finland -markkinapaikalla järjestetyssä julkisessa kaupankäynnissä hankintahetken markkinahintaan. Omien osakkeiden hankinta aloitetaan aikaisintaan 13.12.2023 ja lopetetaan viimeistään 30.6.2024. Omien osakkeiden hankinta rahoitetaan yhtiön jakokelpoisella vapaalla omalla pääomalla.
Yhtiön omien osakkeiden hankinnan tarkoituksena on käyttää osakkeita vastikkeena mahdollisissa yrityskaupoissa, mahdollisesti osana yhtiön osakepohjaisia kannustinjärjestelmiä sekä muutoin edelleen luovutettavaksi, yhtiöllä pidettäväksi tai mitätöitäväksi.
Varsinainen yhtiökokous, joka pidettiin 13.4.2023, valtuutti hallituksen päättämään enintään 1 118 278 yhtiön oman osakkeen hankkimisesta.
Digital Workforce Services Oyj:llä on yhteensä 11 251 128 osaketta ja ääntä. Tällä hetkellä Digital Workforce Services Oyj omistaa omia osakkeita 0 kappaletta.
