Decision of Scanfil plc’s Board of Directors on granting 2022BI and 2022BII stock option rights Today, on 27 October 2023 Scanfil plc’s Board of Directors has decided on granting stock option rights to key personnel of the Scanfil Group.
The CEO, the members of the Management Team and other 17 key personnel were granted in total 330,000 option rights of which the CEO Christophe Sut 120,000 pcs, and the members of the Management Team 20,000 pcs each and other 17 key personnel 110,000 pcs in total. Granted option rights shall be marked as “2022BI” and “2022BII”.
Each option right entitles its holder to subscribe for one (1) of the company’s new shares or shares in its possession. The subscription period for option rights 2022BI and 2022BII is 1 May 2026 – 30 April 2028. The subscription period for the option rights included in the option plan will not begin, unless the production and financial goals and conditions, set separately by the Board of Directors for exercising the option rights, are met.
The option rights whose goals are not met will expire as determined by the Board. The stock options were granted gratuitously. The subscription price of option rights 2022BI and 2022BII is the trade volume weighted average price of the Scanfil plc share on Nasdaq Helsinki Ltd during the period of 1– 30 November 2022.
Granting option rights is based on the authorization given on 21 April 2022 by the Shareholders’ Annual General Meeting to the Board of Directors to decide on the terms and conditions of the maximum amount of 1,200,000 option rights. The Board of Directors decided on 27 October 2022 on option plan.

Scanfil Oyj Muut pörssin sääntöjen nojalla julkistettavat tiedot 27.10.2023 klo 12.30Scanfil Oyj:n hallituksen päätös optio-oikeuksien 2022BI ja 2022BII antamisestaScanfil Oyj:n hallitus on tänään 27.10.2023 päättänyt optio-oikeuksien antamisesta yhtiön avainhenkilöille. Toimitusjohtajalle, johtoryhmän jäsenille ja 17 muulle avainhenkilölle annettiin yhteensä 330 000 optio-oikeutta: toimitusjohtaja Christophe Sut 120 000 kpl, kullekin johtoryhmän jäsenelle 20 000 kpl ja 17 muille avainhenkilölle yhteensä 110 000 kpl. Annettuja optio-oikeudet merkitään tunnuksilla ”2022BI” ja ”2022BII”.
Kukin optio-oikeus oikeuttaa merkitsemään yhden (1) Scanfil Oyj:n uuden tai sen hallussa olevan osakkeen. Optio-oikeuksien 2022BI ja 2022BII merkintäaika on 1.5.2026–30.4.2028. Optio-ohjelman tarkoittamilla optio-oikeuksilla merkittävien osakkeiden merkintäajan alkaminen edellyttää, että hallituksen erikseen määrittelemät, optio-oikeuksien käyttämiselle asetetut liiketoiminnan tuotannolliset ja taloudelliset tavoitteet ja ehdot ovat täyttyneet.
Optio-oikeudet, joiden tavoite ei täyty, raukeavat hallituksen päättämällä tavalla. Optio-oikeudet annettiin vastikkeetta. Osakkeen merkintähinta optio-oikeuksille 2022BI ja 2022BII on Scanfil Oyj:n osakkeen vaihdolla painotettu keskikurssi Nasdaq Helsinki Oy:ssä 1.–30.11.2023.Optio-oikeuksien antaminen perustuu Scanfil Oyj:n yhtiökokouksen 21.4.2022 hallitukselle antamaan valtuutukseen päättämään optio-oikeuksien antamisesta Scanfil-konsernin avainhenkilöille sekä päättämään optio-ohjelman ehdoista enintään 1 200 000 optio-oikeudelle.
