On 13 April 2023, the Board of Directors of Componenta Corporation decided on a new stock option plan for its key employees and its subsidiaries, by virtue of an authorization granted by the Annual General Meeting of the company on 13 April 2023.
The subscription price of the shares subscribed with the stock options 2023A is the trade volume weighted average quotation of the company’s share on Nasdaq Helsinki Ltd during the period of 21 April 2023–22 May 2023, which is EUR 3.00 per share. The share subscription price of the stock options 2023A will be reduced by the amount of share capital distributed per share and by the amount of dividends and assets distributed from the reserves of unrestricted equity per share. The stock options 2023A entitle their owners to subscribe for a maximum total of 133,348 new shares in the company or existing shares held by the company. The share subscription period of the stock options 2023A is 1 June 2026–31 May 2028.
The theoretical market value of one stock option 2023A is approximately EUR 1.3787 per stock option. The theoretical market value of the stock options is approximately EUR 183,847 in total. The theoretical market value of the stock options has been calculated by using the Black & Scholes stock option pricing model with the following assumptions: share price EUR 3.01, share subscription price EUR 3.00, risk-free interest rate 2.77%, validity of stock options approximately 5 years and volatility 48.92%.

Componenta Oyj:n hallitus päätti 13.4.2023 uudesta Componenta Oyj:n ja sen tytäryhtiöiden avainhenkilöille suunnatusta optio-ohjelmasta yhtiön varsinaisen yhtiökokouksen 13.4.2023 antaman valtuutuksen nojalla.
Osakkeen merkintähinta optio-oikeuksilla 2023A on yhtiön osakkeen vaihdolla painotettu keskikurssi Nasdaq Helsinki Oy:ssä 21.4.–22.5.2023, eli 3,00 euroa osakkeelta. Optio-oikeuksilla 2023A merkittävän osakkeen merkintähintaa alennetaan osakekohtaisella osakepääoman palautuksen määrällä ja yhtiön jakaman osingon ja vapaan oman pääoman rahastosta jaettavien pääoman palautusten osakekohtaisella määrällä. Optio-oikeuksilla 2023A voi merkitä yhteensä enintään 133 348 yhtiön uutta tai sen hallussa olevaa osaketta. Optio-oikeuksilla 2023A merkittävien osakkeiden merkintäaika on 1.6.2026–31.5.2028.
Yhden optio-oikeuden 2023A teoreettinen markkina-arvo on noin 1,3787 euroa per optio-oikeus. Yhteensä optio-oikeuksien teoreettinen markkina-arvo on noin 183 847 euroa. Optio-oikeuksien teoreettinen markkina-arvo on määritetty optio-oikeuksien hinnoittelussa käytettävällä Black-Scholes-mallilla seuraavin oletuksin: osakkeen kurssi 3,01 euroa, osakkeen merkintähinta 3,00 euroa, riskitön korko 2,77 %, optio-oikeuksien voimassaoloaika noin 5 vuotta ja volatiliteetti 48,92 %.
