Resolutions of the annual general meeting of RISMA Systems A/S (“RISMA”)
Today, RISMA held its annual general meeting where the following resolutions were passed:
The report on the activities during the past financial year was acknowledged and approved
The audited annual report for the financial year 2022 was adopted
The management were granted discharge from liability for the information in the annual report
The loss of the year was carried forward in accordance with the adopted annual report
The remuneration of the board of directors for the financial year 2023 was approved to remain unchanged compared to 2022
Rolf Erik Hall (re-election), Lars Ankjer Jensen (re-election), Lars Nybro Munksgaard (re-election), and Claus Henrik Christiansen (re-election), including the two new board members, Rolf Bladt and Merete Søby, were elected as members of the board of directors
KPMG P/S was re-elected as RISMA’s auditor
A new authorisation to the board of directors to issue warrants and to adopt the capital increase related to the exercise of warrants was granted in accordance with the new clause 7.4 which was adopted in the articles of association
The chairman of the general meeting (with full right of substitution) was granted authorisation to register the resolutions with the Danish Business Authority
