Selskabsmeddelelse nr. 37, inside information: Incitamentsprogram udrullet
Warrantprogram for medarbejdere gennemført
Med henvisning til selskabsmeddelelse nr. 28 af 22. juni 2021, har Dataproces Group A/S i dag gennemført udstedelse af warrantaftaler til medarbejderne i selskabet. Warrants tildeles vederlagsfrit, og uden yderligere betingelser knyttet til tildelingen.
Warrantprogrammet er gennemført i henhold til bemyndigelsen i selskabets vedtægters pkt. 4.2. og jf. virksomhedsskrivelsen pr. den 21. oktober 2020.
Warrantprogramment løber over 3 år; 2021, 2022 og 2023. Programmet bevirker, at der maksimalt udstedes 526.483 nye aktier over de 3 år svarende til nominelt kr. 10.529,66 af selskabskapitalen. Antallet kan blive mindre, dels idet de individuelle aftaler bortfalder ved ophør af ansættelse, og dels idet 52.027 stk. af de udstedte warrants er afhængige af den udmeldte guidance for omsætningsresultatet.
Det endelige warrantprogram er baseret på den volumenbaserede gennemsnitskurs for juli måned 2021, som er beregnet til DKK 7,40. Warrants udnyttes til DKK 0,02, hvilket indebærer et favørelement på DKK 7,38 pr. aktie.
Ved tegning af nye aktier gennem warrantprogrammets 3 modningsperioder, vil de nytegnede aktier hver gang blive omfattet af en 12 måneders lock-up periode. De potentielle 52.027 warrants, der er afhængige af omsætningsresultatet, vil være omfattet af en faseinddelt lock-up, som åbnes med 20 % pr. måned.
Bemyndigelsen i vedtægternes pkt. 4.2 nedsættes til nominelt kr. 45.045,34, og selskabets vedtægter vil blive opdateret i overensstemmelse.

Company announcement no. 37, inside information: Incentive program rolled out
Warrant program for employees completed
With reference to company announcement no. 28 of 22 June 2021, Dataproces Group A/S has today completed the issuance of warrant agreements to the employees of the company. The warrants will be granted without charge and additional conditions attached to the grant.
The warrant program has been implemented in accordance with the authorization in the company’s articles of association 4.2. and in accordance to the company description of October 21, 2020.
The Warrant program mature over 3 years; 2021, 2022 and 2023. The final program results in a maximum of 526.483 new shares being issued over the 3 years corresponding to nominally DKK 10,529.66 of the share capital. The number may be smaller, partly as the individual agreements lapse upon termination of employment, and partly as 52.027 of the warrants issued are dependent on the announced guidance of revenue for the financial year 2021/22.
The final warrant program is based on the volume-based average price for the month of July 2021, which is calculated at DKK 7.40. Warrants are exercised at DKK 0.02, which implies a favorable element of DKK 7.38 per share.
When exercising for new shares through the warrant program’s 3 maturation periods, the newly exercised shares will each time be covered by a 12-month lock-up period. The potential 52,027 warrants that depend on the revenue of the year 2021/22 will be subject to a phased lock-up, which is opened at 20% per. month.
The authorization in the company’s articles of association section 4.2 will be reduced to nominally DKK 45,045.34 and the articles will be updated accordingly.
