Company announcement no. 22 – 2021

In continuation of the company’s long-term incentive and retention program, the Board of Directors has decided to issue the 2021 allocation to management and employees. Theprogram consists of granting of warrants on the following terms:
* Issuing of 125,000 warrants which gives the right to a subscription of 125,000 shares in the company at a nominal value of DKK 0.10 per share.
The purpose of the program is to maintain the employment of professional and valuable resources in the company, and to provide an incentive for them to make a special effort for the value creation of the company. The incentive and retention program involves management and employees of the company.
The warrant program will be vested over a 12-months period, starting from the issuing date. The warrants are granted as a one-time grant, and vesting will be in accordance with specification by the Board of Directors where warrant holders earn the right to exercise the warrants with 1/12 per month from the date of the issuing. Warrants can be exercised at a price of DKK 20.00 in 2 exercise windows. One in 2023 and one in 2024. The exercise window is defined as the three-week period after publishing of the 2022 and the 2023 annual reports.
If fully vested and exercised, the implemented program will increase the FOM Technologies share pool by 1,69 % from 7,419,412 shares to 7,544,412 shares in 2023. The implemented program may be followed by similar warrant programs, which ultimately may increase the incentive share/warrant pool to 740,741 shares (9.98 % of share capital) if fully vested and exercised by 2028.
The key assumptions for the calculation are: * Theoretical market value of a warrant granted: DKK 11.48 calculated using the Black-Scholes model. * Share price: DKK 30.60 (Nasdaq First North closing price on Wednesday the 19th of May 2021). * Exercise price: DKK 20.00 * Duration: 2 years and 10 months * Volatility: 25.00 %* Interest rate: 0.10 %

I forlængelse af selskabets langsigtede incitaments- og fastholdelsesprogram har selskabets bestyrelsen besluttet at udstede 2021 tildelingen til ledelse og medarbejdere. Programmet består af tildeling af warrants på følgende vilkår:

Formålet med programmet er at fastholde beskæftigelsen af professionelle og værdifulde ressourcer i virksomheden og tilskynde dem til at gøre en særlig indsats for virksomhedens værdiskabelse. Incitaments- og fastholdelsesprogrammet involverer ledelse og medarbejdere i virksomheden.
Warrantprogrammet tildeles over en periode på 12 måneder fra udstedelsesdatoen. Tegningsoptionerne tildeles på en gang, og optjeningen sker i overensstemmelse med specifikationerne fra bestyrelsen, hvor warrants indehaveren optjener ret til at udnytte warrants med 1/12 pr. måned fra datoen for udstedelsen.
Tegningsoptioner kan udnyttes til en pris af DKK 20,00 i 2 udnyttelsesvinduer. Én i 2023 og en i 2024. Udnyttelsesvinduet defineres som den tre-ugers periode efter offentliggørelsen af 2022 eller 2023 årsrapporterne.
Fuldt optjent og udnyttet, vil det implementerede program øge FOM Technologies aktiekapital med 1,69% fra 7.419.412 aktier til 7.544.412 aktier i 2023. Det implementerede program kan efterfølges af lignende tegningsprogrammer, som i sidste ende kan øge aktiekapitalen med 740,741 aktier totalt (9,98% af aktiekapitalen), hvis det er fuldt optjent og udnyttet inden 2028.
