Sandnes, 18th of March 2021 -, Reference is made to the stock exchange notice by Nordic Unmanned AS (the “Company”) on 5 March 2021 announcing a potential subsequent offering of up to 317,000 new shares in the Company (the “Subsequent Offering”) following the successful completion of a private placement of 2,531,645 new shares in the Company at a price of NOK 39.50 per share (the “Private Placement”), depending on inter alia the development of the price of the Company’s shares following the Private Placement.
The board of directors of the Company has resolved not to proceed with the Subsequent Offering. Following announcement of completion of the Private Placement, the Company’s shares have traded, with significant trading volumes, at or marginally above the subscription price in the Private Placement. Accordingly, any shareholder wishing to reduce the dilutive effect of the Private Placement have had the opportunity to purchase shares in the Company in the market at prices similar to what would have been the subscription price in the Subsequent Offering.
