The board of directors (the “Board”) of Entra ASA (the “Company”) notes that Castellum AB (“Castellum”) today has launched its voluntary offer for the Company’s shares by way of an offer document, as announced by the stock exchange notice dated 18 December 2020 from Castellum (the “Castellum Offer”).
The Board will together with its advisors review the offer document to fully understand the terms and conditions of the Castellum Offer before providing a recommendation to the Company’s shareholders. Such recommendation will be given by 29 January 2021 at the latest, as required by the Norwegian Securities Trading Act chapter 6.
Reference is also made to the Company’s announcement 23 December 2020 regarding the announcement made by Samhällsbyggnadsbolaget i Norden AB on its intention to put forward a voluntary offer (the “SBB Offer”) for the Company’s shares.
Shareholders are advised to refrain from taking any action in respect of their shares in the Company which may be prejudicial to their interests, and to exercise caution when dealing in the shares of the Company.
There can be no certainty that the Castellum Offer will be completed or the SSB Offer will be made or completed.

Styret (“Styret”) i Entra ASA (“Selskapet”) har notert seg meldingen fra Castellum AB (“Castellum”) i dag om lanseringen av tilbudsdokumentet knyttet til det frivillige tilbudet på Selskapets aksjer (“Castellum-tilbudet “), som kunngjort av Castellum i børsmelding den 18. desember 2020.
Styret vil sammen med sine rådgivere gjennomgå tilbudsdokumentet for å forstå vilkårene og betingelsene i Castellum-tilbudet før man vil gi en anbefaling til selskapets aksjonærer. En slik anbefaling vil bli gitt senest 29. januar 2021 i samsvar med Verdipapirhandellovens kapittel 6.
Det vises også til selskapets børsmelding 23. desember 2020 angående Samhällsbyggnadsbolaget i Norden AB’s annonsering av sin intensjon om å fremsette et frivillig tilbud på Selskapets aksjer (“SBB-tilbudet “).
Aksjonærer rådes til å avstå fra å iverksette tiltak med hensyn til sine aksjer i Selskapet som kan være til skade for deres interesser samt til å utvise forsiktighet ved handel i Selskapets aksjer.
Det er ingen sikkerhet for at Castellum-tilbudet vil bli gjennomført, eller at SBB-tilbudet vil bli fremmet eller gjennomført.
