Selskabsmeddelelse nr. 17/2026 – intern viden: Dataproces Group A/S udsteder igen i år warrants til udvalgte medarbejderne med henblik på fastholdelse og incitamentsskærpelse.
Dataproces Group A/S har i dag besluttet at gennemføre et warrantprogram for udvalgte medarbejdere i selskabet.
Warrants tildeles vederlagsfrit og udstedes i henhold til bestyrelsens bemyndigelse i selskabets vedtægters pkt. 4.2.
Warrantprogrammet løber over 1 år og omfatter i alt 97.842 warrants. Hver warrant giver ret til at tegne én aktie i Dataproces Group A/S á nominelt DKK 0,02. Programmet kan således medføre udstedelse af maksimalt 97.842 nye aktier, svarende til en nominel kapitalforhøjelse på DKK 1.956,84. Antallet kan blive mindre, idet warrants efter de gældende vilkår kan bortfalde, herunder i forbindelse med ophør af ansættelse.
Antallet af warrants er fastsat på baggrund af den volumenvægtede gennemsnitskurs (VWAP) for Dataproces Group A/S’ aktier i perioden fra offentliggørelsen af årsrapporten den 18. juni 2026 og én måned frem. Den beregnede gennemsnitskurs udgør DKK 4,7218 pr. aktie.
Warrants kan udnyttes til DKK 0,02 pr. aktie, svarende til tegningskurs 100. Dette indebærer et favørelement på DKK 4,7018 pr. warrant opgjort på baggrund af ovenstående gennemsnitskurs.
Warrants modnes den 1. september 2027 og kan herefter udnyttes i perioden 1.–14. september 2027 i overensstemmelse med vilkårene for programmet.
Som følge af udstedelsen reduceres den resterende bemyndigelse i vedtægternes pkt. 4.2.1 til 3.628.827 warrants, svarende til nominelt DKK 72.576,54. Selskabets vedtægter opdateres i overensstemmelse hermed.

Company Announcement no. 17/2026 – Inside Information: Dataproces Group A/S once again issues warrants to selected employees with the aim of retention and strengthening incentives.
Dataproces Group A/S has today resolved to implement a warrant programme for selected employees of the Company.
The warrants are granted free of charge and are issued pursuant to the authorisation granted to the Board of Directors under section 4.2 of the Company’s Articles of Association.
The warrant programme runs for one year and comprises a total of 97,842 warrants. Each warrant entitles the holder to subscribe for one share in Dataproces Group A/S with a nominal value of DKK 0.02. The programme may thus result in the issuance of up to 97,842 new shares, corresponding to a nominal increase in the share capital of DKK 1,956.84. The number may be lower, as warrants may lapse in accordance with the applicable terms, including in connection with termination of employment.
The number of warrants has been determined based on the volume-weighted average price (VWAP) of the shares in Dataproces Group A/S during the period from the publication of the Annual Report on 18 June 2026 and one month thereafter. The calculated average price amounts to DKK 4.7218 per share.
The warrants may be exercised at DKK 0.02 per share, corresponding to a subscription price of 100. This represents a benefit of DKK 4.7018 per warrant, calculated on the basis of the above average price.
The warrants vest on 1 September 2027 and may thereafter be exercised during the period from 1–14 September 2027 in accordance with the terms of the programme.
As a result of the issuance, the remaining authorisation under section 4.2.1 of the Company’s Articles of Association is reduced to 3,628,827 warrants, corresponding to a nominal amount of DKK 72,576.54. The Company’s Articles of Association will be updated accordingly.
