GRK Infra Plc INSIDE INFORMATION 6 August 2026 at 15.30 EEST
The Board of Directors of GRK Infra Plc has decided to commence a repurchase of Company’s own shares (“buyback program”) on the basis of the authorisation given by the Annual General Meeting held on 30 March 2026. GRK Infra Plc does not currently hold any treasury shares.
The share buyback program will be carried out on the following main terms:
Shares may be acquired for a maximum of EUR 20 million. A maximum of 1,500,000 shares may be acquired (approximately 3.5% of the total number of shares).
Purpose of the repurchases: the shares will be repurchased to optimize GRK Infra Plc’s capital structure through the reduction of capital.
Duration: From 10 August 2026 at the earliest and end by 28 February 2027 at the latest.
Price: market price formed in public trading on Nasdaq Helsinki.
The shares will be repurchased on Nasdaq Helsinki Stock Exchange.
The repurchased shares will be cancelled on a quarterly basis.
The share buybacks are executed in compliance with Regulation No. 596/2014 of the European Parliament and Council (MAR) Article 5 and the Commission Delegated Regulation (EU) 2016/1052.
GRK Infra Plc has appointed a third-party broker as the lead manager for the buyback program. The broker will make trading decisions independently, without influence from GRK Infra Plc.
GRK Infra Plc may suspend or terminate the program before the planned end date. In such a case, GRK Infra Plc will publish a stock exchange release.

GRK Infra Oyj:n hallitus on päättänyt aloittaa yhtiön omien osakkeiden hankinnan (”takaisinosto-ohjelma”) 30.3.2026 pidetyn varsinaisen yhtiökokouksen antaman valtuutuksen perusteella. GRK Infra Oyj:n hallussa ei tällä hetkellä ole omia osakkeita.
Osakkeiden takaisinosto-ohjelma toteutetaan seuraavien pääehtojen mukaisesti:
Osakkeita voidaan hankkia enintään 20 miljoonalla eurolla. Osakkeita voidaan hankkia enintään 1 500 000 kappaletta (noin 3,5 % osakkeiden kokonaismäärästä).
Takaisinostojen tarkoitus: osakkeet hankitaan GRK Infra Oyj:n pääomarakenteen kehittämiseksi omaa pääomaa alentamalla.
Kesto: takaisinostot alkavat aikaisintaan 10.8.2026 ja päättyvät viimeistään 28.2.2027.
Hinta: Nasdaq Helsingissä julkisessa kaupankäynnissä muodostuva markkinahinta.
Osakkeet hankitaan Nasdaq Helsingin pörssistä.
Takaisinostetut osakkeet mitätöidään vuosineljänneksittäin.
Omia osakkeita hankitaan markkinoiden väärinkäyttöasetuksen (EU) N:o 596/2014 5 artiklan sekä Euroopan komission delegoidun asetuksen (EU) 2016/1052 mukaisesti.
GRK Infra Oyj on nimittänyt ulkopuolisen välittäjän takaisinosto-ohjelman pääjärjestäjäksi. Pääjärjestäjä tekee kaupankäyntipäätökset GRK Infra Oyj:stä riippumatta ja ilman sen vaikutusta.
GRK Infra Oyj voi keskeyttää tai lopettaa ohjelman ennenaikaisesti. Tällöin GRK Infra Oyj julkaisee asiasta pörssitiedotteen.
