Decisions of the constitutive meeting of the Board of Directors of VR-Group Plc
VR-Group Plc, stock exchange release, 15 April 2026 at 10 EET
At VR’s Annual General Meeting on 14 April 2026, Esa Ikäheimonen was elected as the Chair of the Board of Directors and Hanna Sievinen was elected as the Vice Chair of the Board of Directors. Torborg Chetkovich, Nermin Hairedin, Markus Holm, Ilpo Nuutinen and Minna Schrey-Hyppänen were elected as members of the Board of Directors.
Decisions of the Board’s constitutive meeting on 15 April 2026
The Board of Directors appointed Hanna Sievinen as the Chair and Torborg Chetkovich and Markus Holm as members of the Audit Committee.
The Board of Directors appointed Esa Ikäheimonen as the Chair and Nermin Hairedin, Ilpo Nuutinen and Minna Schrey-Hyppänen as members of the People & Culture Committee.
The Board of Directors has assessed the independence of its members and concluded that all members of the Board of Directors, except Ilpo Nuutinen, are independent of both the company and its shareholder (State of Finland). Ilpo Nuutinen is not considered independent of the company’s owner based on his employment relationship.

VR-Yhtymä Oyj:n varsinaisessa yhtiökokouksessa 14.4.2026 valittiin hallituksen puheenjohtajaksi Esa Ikäheimonen ja hallituksen varapuheenjohtajaksi Hanna Sievinen. Hallituksen varsinaisiksi jäseniksi valittiin Torborg Chetkovich, Nermin Hairedin, Markus Holm, Ilpo Nuutinen ja Minna Schrey-Hyppänen.
Hallituksen järjestäytymiskokouksen 15.4.2026 päätökset
Tarkastusvaliokunnan puheenjohtajaksi valittiin Hanna Sievinen sekä jäseniksi Torborg Chetkovich ja Markus Holm.
Henkilöstövaliokunnan puheenjohtajaksi valittiin Esa Ikäheimonen sekä jäseniksi Nermin Hairedin, Ilpo Nuutinen ja Minna Schrey-Hyppänen.
Hallitus on arvioinut jäsentensä riippumattomuuden ja todennut, että kaikki hallituksen jäsenet ovat Ilpo Nuutista lukuun ottamatta riippumattomia sekä yhtiöstä että sen osakkeenomistajasta (Suomen valtio). Ilpo Nuutisen ei katsota olevan riippumaton yhtiön omistajasta virkasuhteensa perusteella.
