Bestyrelsen i RTX A/S har besluttet at fortsætte det aktiebaserede incitamentsprogram i overensstemmelse med den gældende vederlagspolitik, som blev vedtaget på generalforsamlingen den 29. januar 2026. RTX lancerer således et aktiebaseret incitamentsprogram i 2025/26, som består af en langsigtet aktiebaseret bonus i form af Restricted Share Units (RSU) som specificeret i vederlagspolitikken og yderligere beskrevet nedenfor.

RSU
Som i tidligere år vil den langsigtede aktiebaserede bonus i form af RSU’er optjenes og modnes over en treårig periode baseret på den fortsatte ansættelse af den enkelte deltager samt baseret på minimusmål for indtjening i den tre-årige periode fra tildelingen. Afhængigt af endelig optjening, berettiger hver RSU modtageren til én aktie i RTX A/S på nominelt DKK 5.
 

Deltagere og formål

Direktion og ledergruppe. Samlet i programmet for 2025/26 er der 8 deltagere. Formålet med programmet er at skabe fælles interesser mellem deltagerne i programmet og RTX og dets aktionærer samt at skabe incitamenter til fastholdelse af deltagerne i programmet hos RTX. Målene i programmet er sat sådan, at de fokuserer på incitamenterne relateret til fastholdelse.
 

Antal RSU’er

Hvis alle forhåndsdefinerede mål når de fastsatte niveauer, eller overstiger disse, vil der blive tildelt i alt 36.895 aktier med en samlet nutidsværdi/fair value på DKK 4,0 mio., beregnet ud fra en justeret Black-Scholes model baseret på de specifikke vilkår og betingelser for programmet samt den aktuelle aktiekurs på dagen for RTX’s generalforsamling den 29. januar 2026.
 
Antallet af endeligt distribuerede RSU’er kan variere mellem 0 og 100 procent af det fastsatte niveau og afhænger af at RTX’s resultater i regnskabsårene 2025/26, 2026/27 og 2027/28 er over et givent minimumsniveau samt af deltagernes fortsatte ansættelse.
 

Tidspunkt for tildeling som aktier

RSU’erne kan tidligst tildeles som aktier efter generalforsamlingen i januar 2029.
 

Mål
(key performance indicators)

Optjeningen af RSU’erne afhænger af opfyldelsen af et defineret minimusmål for EBITDA i den treårige periode frem mod tildelingen som aktier (dvs. regnskabsårene 2025/26, 2026/27 og 2027/28) og er desuden afhængig af, at RTX’s forretningsførelse er i overensstemmelse med princip­perne i FN’s Global Compact, som RTX har tilsluttet sig.
 

Vilkår
 

RSU’erne er underlagt de specifikke vilkår og betingelser for programmet, gældende lov samt RTX’s vederlagspolitik. Hvis en deltager vælger at forlade RTX førtidspunktet hvor RSU’erne tildeles som aktier, vil deltagerens ret til aktierne generelt bortfalde. Deltagerne betaler ikke for de tildelte aktier.
 

Tilpasninger af programmet

Antallet af aktier til rådighed for tildeling kan tilpasses i tilfælde af relevante ændringer i RTX’s kapitalstruktur. Desuden er programmet underlagt en vanlig bestem­melse om tilbagebetaling (”clawback”).
 

 
Det samlede antal RSU’er i programmet dækkes af selskabets nuværende beholdning af egne aktier.

The Board of Directors of RTX A/S has decided to continue the share-based incentive program in accordance with the current remuneration policy adopted at the Annual General Meeting on 29 January 2026. Therefore, RTX will launch a share-based incentive program for 2025/26 comprising a long-term share-based bonus in the form of Restricted Share Units (“RSU”) as defined in the remuneration policy and as further described below.
The remuneration policy of RTX is available at www.rtx.dk in the “Investors” section.
 
Restricted Share Units
As in previous years, the long-term share-based bonus in the form of RSUs will be earned and matured over a three-year period based on the continued employment of each participant and based on a minimum floor level of earnings is achieved in the three-year period from the award. Subject to vesting, each RSU provides the participant with the right to receive one share in RTX A/S of nominally DKK 5.
 

Participants and Purpose

The Executive Board and Group Executive Management. In total, the program for 2025/26 includes 8 participants. The purpose of the program is to create shared interests between the participants in the program and RTX and its shareholders as well as to create incentives for the retention of the participants at RTX. The targets set in the program are set so as to emphasize incentives related to retention.

Number of Restricted Share Units

If all pre-defined targets are met or exceeded, a total number of 36,895 shares will be granted with a total present value / fair value of DKK 4.0 million as calculated based on an adjusted Black-Scholes model reflecting the specific terms and conditions of the program and the share price at the time of RTX’s Annual General Meeting on 29 January 2026.
 
The actual number of RSUs distributed may range from
0 to 100 percent of the total number above and is determined by RTX’s performance in the financial years 2025/26, 2026/27 and 2027/28 being above a certain minimum threshold and by the continued employment of the participants.

Timing

The RSUs will at the earliest vest and be granted as shares after the Annual General Meeting in January 2029.

Targets/Performance Indicators

The vesting of RSUs depends on the fulfillment of a defined minimum target for EBITDA in the three-year period from the award (financial years 2025/26, 2026/27 and 2027/28) and it is further dependent on the conduct of RTX’s business in compliance with the principles of the UN Global Compact as adopted by RTX.

Conditions

The RSUs are governed by the specific terms and conditions of the program in accordance with the remuneration policy of RTX and subject to mandatory law. If a participant chooses to leave RTX before the time of vesting, the participant’s right to receive the shares will generally lapse. No payments for the granted shares are made by the participants.

Adjustments to the Program

The number of shares available for grant may be adjusted in the event of relevant changes in the capital structure of RTX. Further the program is subject to a usual clawback provision.

 
The total number of RSUs granted is covered by the Company’s current holding of treasury shares.
