Share Subscriptions with Stock Options 2019C, 2022AI And 2022AII
By 7 November 2025, a total of 57,600 Scanfil Plc’s new shares have been subscribed for with the Company’s stock options 2019C, 2022AI and 2022AII. A total of 30,000 new shares have been subscribed for with stock options 2019C, a total of 21,600 new shares have been subscribed for with stock options 2022AI and a total of 6,000 new shares have been subscribed for with stock options 2022AII.
For subscriptions made with the stock options 2019C, 2022AI and 2022AII, the entire subscription price of EUR 390,012.00 will be credited to the reserve for the Company’s invested unrestricted equity.
The shares subscribed for with the stock options 2019C, 2022AI and 2022AII have been registered in the Trade Register on 5 December 2025. The new shares will produce shareholder rights for their shareholders from the date of registration. After the trade registration the total number of shares is 65,476,493.
The shares will be traded in the main list maintained by Nasdaq Helsinki Ltd together with the old shares on or about 8 December 2025.
The share subscription period for stock options 2019C began on 1st of May 2024 and ends on 30th of April 2026 and the share subscription period for stock options 2022AI and 2022AII began on 1st of May 2025 and ends on 30th of April 2027.

Osakkeiden merkintä optio-oikeuksilla 2019C, 2022AI ja 2022AII
Scanfil Oyj:n optio-oikeuksilla 2019C, 2022AI ja 2022AII on 7.11.2025 mennessä merkitty yhteensä 57 600 yhtiön uutta osaketta. Optio-oikeuksilla 2019C on merkitty yhteensä 30 000 yhtiön uutta osaketta, optio-oikeuksilla 2022AI on merkitty yhteensä 21 600 yhtiön uutta osaketta ja optio-oikeuksilla 2022AII on merkitty yhteensä 6 000 yhtiön uutta osaketta. Optio-oikeuksilla 2019C, 2022AI ja 2022AII tehtyjen merkintöjen merkintähinta 390 012,00 euroa kirjataan kokonaisuudessaan sijoitetun vapaan oman pääoman rahastoon.
Optio-oikeuksien perusteella merkityt uudet osakkeet on tänään 5.12.2025 rekisteröity kaupparekisteriin. Uudet osakkeet tuottavat omistajilleen osakkeenomistajan oikeudet rekisteröintipäivästä lähtien. Kaupparekisteriin merkinnän jälkeen Scanfil Oyj:n osakkeiden yhteismäärä on 65 476 493 osaketta.
Osakkeet ovat kaupankäynnin kohteena Nasdaq Helsinki Oy:n ylläpitämällä päälistalla yhdessä vanhojen osakkeiden kanssa arviolta 8.12.2025.
Merkintäaika optio-oikeuksilla 2019C alkoi 1.5.2024 ja päättyy 30.4.2026 ja merkintäaika optio-oikeuksilla 2022AI ja 2022AII alkoi 1.5.2025 ja päättyy 30.4.2027.
