On 13 April 2023, the Board of Directors of Componenta Corporation decided on a stock option plan for the key employees of the company and its subsidiaries, by virtue of an authorization granted by the Annual General Meeting of the company on 13 April 2023.
The subscription price of the shares subscribed with the stock options 2023C is the trade volume weighted average quotation of the company’s share on Nasdaq Helsinki Ltd during the period of 17 April 2025–19 May 2025, which is EUR 3.97 per share. The share subscription price of the stock options 2023C will be reduced by the amount of share capital distributed per share and by the amount of dividends and assets distributed from the reserves of unrestricted equity per share. The stock options 2023C entitle their owners to subscribe for a maximum total of 133,326 new shares in the company or existing shares held by the company. The share subscription period of the stock options 2023C is 1 June 2028–31 May 2030.
The theoretical market value of one stock option 2023C is approximately EUR 1.65 per stock option. The theoretical market value of the stock options is approximately EUR 219,987 in total. The theoretical market value of the stock options has been calculated by using the Black & Scholes stock option pricing model with the following assumptions: share price EUR 3.82, share subscription price EUR 3.97, risk-free interest rate 2.20%, validity of stock options approximately 5 years and volatility 48.01%.

Componenta Oyj:n hallitus päätti 13.4.2023 käynnistää Componenta Oyj:n ja sen tytäryhtiöiden avainhenkilöille suunnatun optio-ohjelman yhtiön varsinaisen yhtiökokouksen 13.4.2023 antaman valtuutuksen nojalla.
Osakkeen merkintähinta optio-oikeuksilla 2023C on yhtiön osakkeen vaihdolla painotettu keskikurssi Nasdaq Helsinki Oy:ssä 17.4.–19.5.2025, eli 3,97 euroa osakkeelta. Optio-oikeuksilla 2023C merkittävän osakkeen merkintähintaa alennetaan osakekohtaisella osakepääoman palautuksen määrällä ja yhtiön jakaman osingon ja vapaan oman pääoman rahastosta jaettavien pääoman palautusten osakekohtaisella määrällä. Optio-oikeuksilla 2023C voi merkitä yhteensä enintään 133 326 yhtiön uutta tai sen hallussa olevaa osaketta. Optio-oikeuksilla 2023C merkittävien osakkeiden merkintäaika on 1.6.2028–31.5.2030.
Yhden optio-oikeuden 2023C teoreettinen markkina-arvo on noin 1,65 euroa per optio-oikeus. Yhteensä optio-oikeuksien teoreettinen markkina-arvo on noin 219 987 euroa. Optio-oikeuksien teoreettinen markkina-arvo on määritetty optio-oikeuksien hinnoittelussa käytettävällä Black-Scholes-mallilla seuraavin oletuksin: osakkeen kurssi 3,82 euroa, osakkeen merkintähinta 3,97 euroa, riskitön korko 2,20 %, optio-oikeuksien voimassaoloaika noin 5 vuotta ja volatiliteetti 48,01 %.
