Selskabsmeddelelse nr. 3/2025, Bestyrelsen for Dataproces Group A/S har godkendt opkøb

I investornyhed nr. 8/2025 blev det udmeldt, at Dataproces Group A/S ville undersøge mulighederne for strategiske partnerskaber og opkøb, med det formål at tilbyde kunderne nye og endnu stærkere produkter.
Dataproces har de seneste uger arbejdet på at forberede et opkøb af en lille virksomhed, der arbejder med analyser og prognoser på kommune-markedet. Der er gennemført en due diligence proces og efterfølgende har bestyrelsen for Dataproces Group netop godkendt, at der indgås aftale om opkøb af selskabet.
Der er tale om et opkøb, hvor købesummen er under 2 MDKK, og det kan oplyses, at selskabet udover sin primære kundegruppe i Danmark, også har enkelte kunder i Tyskland.
Endelig aftale forventes indgået i nærmeste fremtid og der vil blive udsendt særskilt selskabsmeddelelse herom.
Opkøbet giver ikke anledning til ændring af forventningerne til året, som guidet i forbindelse med vores opjustering af guidance i selskabsmeddelelse nr. 1/2025.
Selskabet (Nasdaq First North Growth Market Denmark: DATA) er forpligtet til at offentliggøre den ovenstående information i henhold til EU Markedsmisbrugsforordningens punkt 17.

Company announcement no. 3/2025: The Board of Directors of Dataproces Group A/S has approved acquisition

In investor news no. 8/2025, it was announced that Dataproces Group A/S would investigate the possibilities for strategic partnerships and acquisitions, with the aim of offering customers new and even stronger products.
In recent weeks, Dataproces has worked to prepare an acquisition of a small company that works with analyses and forecasts in the municipal market. A due diligence process has been carried out and subsequently the Board of Directors of Dataproces Group has just approved the conclusion of an agreement to acquire the company.
This is an acquisition where the purchase price is less than 2 MDKK, and it can be stated that the company has a few customers in Germany.
A final agreement is expected to be concluded in the near future and a separate company announcement will be issued regarding this.
The acquisition does not give rise to a change in expectations for the year, as guided in connection with our upward adjustment of guidance in company announcement no. 1/2025.
The company (Nasdaq First North Growth Market Denmark: DATA) is obliged to publish the above information in accordance with point 17 of the EU Market Abuse Regulation.
