Scanfil plc Stock Exchange Release 3 December 2024 at 10:00 a.m. EETShare subscription price and market value of Scanfil plc’s stock options 2022CI and 2022CIIOn 25 October 2024, the Board of Directors of Scanfil plc decided to distribute stock options 2022CI and 2022CII to key personnel of the group. The Board of Directors decided on the stock option plan on 27 October 2022, by virtue of an authorization granted by the Annual General Meeting of the company on 21 April 2022. The subscription price of shares subscribed with the stock options 2022CI and 2022CII is the trade volume weighted average quotation of Scanfil plc share on Nasdaq Helsinki Ltd during the period of 1 November 2024 – 30 November 2024, which is EUR 7.76 per share. The share subscription price of the stock options 2022CI will be reduced by the amount of share capital distributed per share and, subject to the Board’s decision, by the amount of extra dividends and assets distributed from the reserve for invested unrestricted equity per share. The stock options 2022CI and 2022CII entitle their owners to subscribe for a maximum total of 400,000 new shares in the company or existing shares held by the company. The share subscription period of the stock options 2022CI and 2022CII is 1 May 2027 – 30 April 2029.The theoretical market value of one stock option 2022CI and 2022CII is approximately EUR 1.62 per stock option. The theoretical market value of the stock options is approximately EUR 648 000 in total. The theoretical market value of the stock options has been calculated by using the Black & Scholes stock option pricing model with the following assumptions: share price EUR 7.9, share subscription price EUR 7.76, risk-free interest rate 2.04%, expected dividend yield 2.91%, validity of stock options approximately 4.5 years and volatility 29.04%. Scanfil Oyj Pörssitiedote 3.12.2024 klo 10.00Scanfil Oyj:n optio-oikeuksien 2022CI ja 2022CII osakemerkintähinta ja markkina-arvoScanfil Oyj:n hallitus päätti 25.10.2024 optio-oikeuksien 2022CI ja 2022CII jakamisesta konsernin avainhenkilöille. Hallitus päätti optio-ohjelmasta 27.10.2022 yhtiön varsinaisen yhtiökokouksen 21.4.2022 antaman valtuutuksen perusteella. Osakkeen merkintähinta optio-oikeuksilla 2022CI ja 2022CII on Scanfil Oyj:n osakkeen vaihdolla painotettu keskikurssi Nasdaq Helsinki Oy:ssä 1.11.–30.11.2024, eli 7,76 euroa osakkeelta. Optio-oikeuksilla 2022CI merkittävän osakkeen merkintähintaa alennetaan osakekohtaisella osakepääoman palautuksen määrällä ja hallituksen niin päättäessä yhtiön jakaman ylimääräisen osingon ja sijoitetun vapaan oman pääoman rahastosta jaettavien pääoman palautusten osakekohtaisella määrällä. Optio-oikeuksilla 2022CI ja 2022CII voi merkitä yhteensä enintään 400 000 yhtiön uutta tai sen hallussa olevaa osaketta. Optio-oikeuksilla 2022CI ja 2022CII merkittävien osakkeiden merkintäaika on 1.5.2027–30.4.2029.Yhden optio-oikeuden 2022CI ja 2022CII teoreettinen markkina-arvo on noin 1,62 euroa per optio-oikeus. Yhteensä optio-oikeuksien teoreettinen markkina-arvo on noin 648 000 euroa.
