Gofore Plc’s directed share issue for the transfer of savings shares in employee share savings plan
As part of the Gofore Group’s employee share savings plan CrewShare, Gofore Plc’s Board of Directors has resolved today, 17 September 2024, to issue a total of 43,123 new shares. The share issue is based on the authorisation by the Annual General Meeting held on 4 April 2024.
On 18 January 2024, Gofore Plc’s Board of Directors resolved to launch a new savings period of the employee share savings plan. Its details are mainly in line with previous savings periods. Gofore’s Board of Directors decided to launch the share savings plan in September 2018. The Group’s entire staff have the opportunity to save a proportion of their salaries and use the savings amounts for the acquisition of Gofore shares at a reduced price. The new shares are savings shares acquired for the participants in the plan with the participants’ savings accrued during 1 March—31 August 2024. The shares have been subscribed for at a price of EUR 19,7304 per share, based on the trade volume weighted average share price at the official market administered by Nasdaq Helsinki Ltd during 1—31 August 2024 with a 10% discount.
The new shares are expected to be entered into the Trade Register on or about 25 September 2024, and trading on the new shares at the Main market administered by Nasdaq Helsinki Ltd is expected to begin on 26 September 2024. Following the registration of the new shares, the total number of the company’s shares is 15,703,262. The share subscription price will be credited in full to the company’s reserve for invested unrestricted equity.

Gofore Oyj:n suunnattu osakeanti henkilöstön osakesäästöohjelman säästöosakkeiden luovuttamiseksi
Gofore Oyj:n hallitus on tänään 17.9.2024 päättänyt yhteensä 43 123 uuden osakkeen liikkeelle laskemisesta osana konsernin henkilöstön CrewShare-osakesäästöohjelmaa, varsinaisen yhtiökokouksen 4.4.2024 antaman valtuutuksen nojalla.
Goforen hallitus päätti 18.1.2024 osakesäästöohjelman uudesta säästökaudesta 2024–2025. Sen yksityiskohdat ovat edellisten säästökausien mukaiset. Goforen hallitus päätti ottaa käyttöön osakesäästöohjelman syyskuussa 2018. Koko konsernin henkilöstöllä on mahdollisuus säästää osa palkastaan ja hankkia säästösummalla Goforen osakkeita alennettuun hintaan.
Uudet osakkeet ovat osakesäästöohjelman osallistujien säästöillä heille hankittavia säästöosakkeita ohjelman ensimmäisen puolivuotiskauden ajalta 1.3.–31.8.2024. Osakkeet on merkitty hintaan 19,7304 euroa/osake, joka perustuu osakkeen vaihdolla painotettuun keskikurssiin Nasdaq Helsinki Oy:n päämarkkinapaikalla ajanjaksolla 1.–31.8.2024 ja siitä laskettuun 10 prosentin alennukseen.
Uudet osakkeet merkitään kaupparekisteriin arviolta 25.9.2024 ja kaupankäynti uusilla osakkeilla Nasdaq Helsinki Oy:n päämarkkinapaikalla alkaa arviolta 26.9.2024. Yhtiön osakkeiden lukumäärä on uusien osakkeiden rekisteröinnin jälkeen 15 703 262 osaketta. Merkintähinta kirjataan kokonaisuudessaan yhtiön sijoitetun vapaan oman pääoman rahastoon.
