Selskabsmeddelelse nr. 5/2024 Intern viden
Bestyrelsen i Dataproces har besluttet at udstede nominelt DKK 50.224,22 svarende til 2.511.211 nye aktier á nominelt DKK 0,02 baseret på bemyndigelse i vedtægternes § 4.1.2 og i overensstemmelse med selskabsmeddelelse nr. 04-2024 vedrørende hensigt om gennemførelse af en rettet emission. De nye aktier tildeles samme rettigheder som de eksisterende aktier.
Tegningskursen er af bestyrelsen fastlagt til markedskursen DKK 2,23. Kursen er fastlagt under hensyntagen til størrelsen af emissionen. Ved den rettede emission vil selskabet konvertere eksisterende gæld på DKK 5,6 mio. Omkostninger relateret til emissionen afholdes af selskabet.
Gennemførelsen af den rettede emission medfører en udvanding af de eksisterende aktionærer på ca. 8 % af antallet af aktier og stemmer i selskabet efter gennemførelsen af transaktionen, som skal ses i forhold til en forbedring af selskabets egenkapital på DKK 5,6 mio. og den fremtidige reduktion af renteudgifter – som kommer alle aktionærer til gode.
Udvidelsen på 2.511.211 nye aktier medfører, at antallet af aktier i alt stiger fra 30.892.278 til 33.403.489 stk. Den nominelle aktiekapital forhøjes fra DKK 617.845,56 til DKK 668.069,78
Kapitalforhøjelsen forventes registreret i Erhvervsstyrelsen senest den 21. februar 2024, ligesom de nye aktier ligeledes forventes optaget til handel senest den 21. februar 2024.

Company Announcement
Company announcement no. 5/2024 Inside information:
The Board of Directors of Dataproces has decided to issue nominally DKK 50,224.22, corresponding to 2,511,211 new shares at nominally DKK 0.02, based on authorization in § 4.1.2 of the articles of association and in accordance with company announcement no. 04-2024 regarding the intention to carry out a directed emission.
The new shares are assigned the same rights as the existing shares. The subscription price has been set by the board at the market price of DKK 2.23. The exchange rate is determined taking into account the size of the issue. In the direct issue, the company will convert existing debt of DKK 5.6 million. Costs related to the issue are borne by the company.
The implementation of the directed issue entails a dilution of the existing shareholders of approx. 8% of the number of shares and votes in the company after completion of the transaction, which must be seen in relation to an improvement in the company’s equity of DKK 5.6 million. and the future reduction of interest expenses – which benefits all shareholders.
The expansion of 2,511,211 new shares means that the number of shares in total increases from 30,892,278 to 33,403,489. The nominal share capital is increased from DKK 617,845.56 to DKK 668,069.78 The capital increase is expected to be registered with the Danish Business Authority no later than 21 February 2024, just as the new shares are also expected to be admitted to trading no later than 21 February 2024.
